Notification of major shareholding

The Management Board of Benefit Systems S.A. with its registered seat inWarsaw (hereinafter, the "Company", "Benefit Systems") hereby announcesthat on January 14, 2022 they received from James van Bergh ("NotifyingParty"), acting on his own behalf, Benefit Invest Limited with itsregistered seat in Dublin (_quot;Benefit Invest_quot;) and Fundacja Drzewo i Jutrowith its registered seat in Warsaw (_quot;Foundation_quot;), (hereinaftercollectively referred to as the _quot;Agreement_quot;) notification pursuant toArt. 69 sec. 2 point 2) in connection with art. 87 sec. 1 point 5) andsec. 3 of the Act of July 29, 2005 on public offering and conditions forintroducing financial instruments to an organized trading system and onpublic companies (i.e. Journal of Laws of 2021, item 1983) (the _quot;Act onPublic Offering_quot;), about a change of at least 1% of the total number ofvotes in the Company held by the Agreement in relation to the stateindicated in the last notification submitted by the Notifying Partypursuant to the Act on Public Offering, i.e. in the notification ofDecember 2, 2020.

The decrease in the involvement of the Agreement in the total number ofvotes in the Company resulted from the sale by the Notifying Party onJanuary 13, 2022 of 16,504 shares of the Company on the regulated marketof the WSE (_quot;Transaction_quot;).

As at January 12, 2022, i.e. before the Transaction, the Agreement held1,034,744 shares of the Company, representing 35.27% of the sharecapital of the Company, entitling to 1,034,744 votes at the GeneralMeetings of Benefit Systems, representing 35.27% of the total number ofvotes in the Company.

After the Transaction, the Agreement holds 1,018,240 shares of theCompany representing 34.71% of the share capital of the Company,entitling to 1,018,240 votes at the General Meetings of Benefit Systems,representing 34.71% of the total number of votes in the Company.

Additionally, the Notifying Party informed that:

1. there are no subsidiaries of the Foundation, Benefit Invest and theNotifying Party (within the meaning of Article 4 Item 15) of the Act onPublic Offering), that hold the shares in the Company;

2. in relation to the Foundation, Benefit Invest and the Notifying Partythere are no persons referred to in Article 87 Sec. 1 Item 3) letter c)of Act on Public Offering, and

3. the Foundation, Benefit Invest and the Notifying Party are notentitled to votes from the shares of the Company as referred to inArticle 69 Sec. 4 Items 7) - 9) of the Act on Public Offering, otherthan as indicated above.
