Subject: Appointment of the Member of Pfleiderer Group S.A. ManagementBoard

Legal basis: Article 56 section 1 item 2 of the Act on Public Offering

The Management Board of Pfleiderer Group S.A. (the "Company") acting onthe basis of Article 56 section 1 item 2 of the Act of 29 July 2005 onpublic offering, conditions governing the introduction of financialinstruments to organized trading, and public companies (consolidatedtext of 2016; Official Journal item 1639, as amended) in connection with§ 5 section 1 item 22 of the Regulation of the Minister of Finance of 19February 2009 on current and periodic information to be published byissuers of securities and conditions for recognition as equivalent ofinformation whose disclosure is required under the laws of a non-memberstate (consolidated text of 2014; Official Journal item 133, asamended), hereby informs that on 9 May 2017 the Supervisory Board of theCompany decided to appoint Mr Ivo Schintz to the Management Board of theCompany as the Member of the Management Board (Chief CommercialOfficer). The appointment of Mr Ivo Schintz takes effect from 1 August2017 (inclusive).

Mr Ivo Schintz (born in 1957) is Dutch. He completed NationalAgricultural College in Deventer in Netherlands with a title of Engineerand obtained International Management MBA title at Thunderbird School ofGlobal Management in USA. Since 1997 Mr Ivo Schintz has been working forTarkett SA - a worldwide leader of innovative and sustainable flooringand sports surface solutions - in various management positions. Since2004 Mr Ivo Schintz has been holding a position of Vice President,member of executive committee of divison EMEA ( Europe, Middle East,Africa) and since 2011 has been holding a position of Area VicePresident for Central Europe activity. Previously, Mr Ivo Schintz workedin various management positions including Philips Lighting BV andDokkumer Vlagen Centrale BV

Mr Ivo Schintz is not engaged in any activities competitive to thebusiness of the Company. He is not a partner in any partnership undercivil law or another type of partnership, or a member of a governingbody of an incorporated company or any other legal entity which wouldconduct activities competitive to the Company's business. Mr Ivo Schintzhas not been entered in the Register of Insolvent Debtors maintainedpursuant to the National Court Register Act.
