Subject: Squeeze-out of Pfleiderer Group S.A. shares and suspension oftrading of the Company' shares

The Management Board of Pfleiderer Group S.A. (the "Company") herebyannounces that today it has received information about the announcementof the information regarding the planned acquisition of shares in theCompany through a squeeze-out (the "Squeeze-Out") by Volantis BidcoB.V., with its registered office in Amsterdam (Prins Benhardplein 200,1097 JB Amsterdam, the Netherlands) entered into the Dutch commercialregister under number 7504755 ("Volantis") which together with AtlantikS.A., with its registered office in Luxembourg (6 rue Jean Monnet,L-2180 Luxembourg), registered with the Luxembourg commercial registerunder number B 170670 ("Atlantik") is a party to acting in concertagreement within the meaning of Article 87, section 1(5) of the Act of29 July 2005 on Public Offering, Conditions Governing the Introductionof Financial Instruments to Organized Trading and Public Companies (the"Public Offering Act").

The subject of the Squeeze-Out is 5,048,615 shares of the Company, whichconstitute 7.80% of the share capital of the Company and represent5,048,615 votes at the general meeting of the shareholders of theCompany representing 7.80% of the total number of votes at the generalmeeting of the shareholders of the Company.

The Squeeze-Out price is PLN 26.60 (twenty-six and 60/100 zloty) per oneshare of the Company. Squeeze-out will commence on 16 September 2019,whereas the Squeeze-Out settlement date is set for 19 September 2019.

Information on the planned acquisition of shares in the Company througha squeeze-out constitutes schedule to this current report.
