Current Report No.7/2021 - Appointment of Supervisory Board Members in "DINO POLSKA" S.A.

Inconnection with the elapse of the current term of office of theCompany's Supervisory Board, "DINO POLSKA" S.A. ("Company") reports thaton 18 June 2021 the Ordinary Shareholder Meeting of "DINO POLSKA" S.A.appointed the following persons to the Company's Supervisory Board forits new term of office:
·Mr.Eryk Bajer,
·Mr.Sławomir Jakszuk,
·Mr.Piotr Nowjalis
·Mr.Maciej Polanowski.
Moreover,the Company reports that on 18 June 2021 it received a letter in whichMr. Tomasz Biernacki, exercising the rights prescribed by §13 item 4sub-item 1 of the Company's Articles of Association, appointed himselfto the Supervisory Board of "DINO POLSKA" S.A. in which he will serve inthe capacity of its chairman. Enclosed the Company conveys the CVs ofthe appointed Supervisory Board members.
According to the declarations the foregoing persons have submitted, theydo not conduct any competitive activity with respect to "DINO POLSKA"S.A., they do not participate in a competing company as partners in acivil law partnership, a commercial law partnership or in a corporation,nor do they participate in any competitive legal person as members ofits governing body. According to the declarations the appointedSupervisory Board members have submitted, they do not appear in theRegister of Insolvent Debtors kept on the basis of the Act on theNational Court Register.
Moreover,Mr. Sławomir Jakszuk and Mr. Piotr Nowjalis have declared that they meetthe independence criteria specified in attachment no. II to theCommission Recommendation of 15 February 2005 on the role ofnon-executive or supervisory directors of listed companies and on thecommittees of the (supervisory) board and the Best Practices of WSEListed Companies 2016.
