Current Report No. 2/2024 - Appointment of a Supervisory Board Member in"DINO POLSKA" S.A.

The Management Board of "DINO POLSKA" S.A. ("Company") reports that on24 January 2024 the Extraordinary Shareholder Meeting of "DINO POLSKA"S.A. appointed Mr. Piotr Borowski to the Company's Supervisory Board.

Enclosed the Company conveys the CV of the appointed Supervisory Boardmember.

According to the declaration Mr. Piotr Borowski has submitted, he doesnot conduct any competitive activity with respect to "DINO POLSKA" S.A.,he does not participate in a competing company as a partner orshareholder in a civil or commercial law partnership, or in a company,nor does he participate in any competitive legal person as member of itsgoverning body. According to the declaration the newly-appointedSupervisory Board member has submitted he does not appear in theRegister of Insolvent Debtor kept on the basis of the Act on theNational Court Register.

Mr. Piotr Borowski satisfies the criteria for independence of asupervisory board member set forth in the Best Practice for GPW ListedCompanies 2021 and in Annex II to the Commission Recommendation of 15February 2005 on the role of non-executive or supervisory directors oflisted companies and on the committees of the (supervisory) board.Moreover, Mr. Piotr Borowski satisfies the criteria for independenceprescribed by Article 129 section 3 of the Act of 11 May 2017 onStatutory Auditors, Audit Firms and Public Oversight and he hasknowledge and skills on accounting.
