Subject: Dismissal of the appeal in the case of annulling the resolutionof the Annual General Meeting of Energa SA of 2022 regarding thedistribution of profit

Further to Current Reports 39/2022 and 2/2024, the Management Board ofEnerga S.A. (the "Company") announces that on January 19, 2026, theCourt of Appeal in Gdańsk dismissed the appeal filed by a group ofshareholders to repeal Resolution No. 5 of the Annual General Meeting ofEnerga S.A. dated May 20, 2022, regarding the distribution of net profitfor the 2021 financial year and the allocation of this profit in itsentirety to reserve capital.

The judgment of the court of first instance becomes final and binding,and the resolution of the General Meeting remains in force.
