Subject: Publication of the Information Document and execution of theResolutions on the Issuance of Shares

Legal basis: Article 17(1) of the MAR - inside information

With reference to Current Report No. 27/2026, the Management Board ofEnerga S.A. (the "Issuer") on 11 May 2026 published an InformationDocument, continuing the implementation of the resolutions of theExtraordinary General Meeting of Energa S.A. adopted on 2 April 2026,i.e. the resolutions concerning an increase of the Company's sharecapital by way of the issuance of Series CC shares through a closedsubscription (i.e. with the pre-emptive rights of the existingshareholders preserved).

The Information Document is available on the Issuer's website athttps://ir.energa.pl/ and has been prepared on the basis of Annex IX inconjunction with Article 1(4)(db) and Article 1(5)(ba) of Regulation(EU) 2017/1129 in connection with:

(i) the public offering of 276,044,742 (in words: two hundred andseventy-six million forty-four thousand seven hundred and forty-two)newly issued Series CC shares, which are ordinary bearer shares with anominal value of PLN 10.92 (in words: ten zlotys and ninety-two groszy)each, of Energa Spółka Akcyjna with its registered office in Gdańsk,conducted by way of a closed subscription referred to in Article 431 § 2item 2 of the Commercial Companies Code, with the pre-emptive rights ofthe existing shareholders preserved; and

(ii) the Issuer's application for the admission to trading andintroduction to trading on the regulated market operated by the WarsawStock Exchange of the newly issued Series CC shares and the individualsubscription rights for Series CC shares.

The issuance of Series CC shares is conducted according to the followingtimetable:

Record date for subscription rights: 04 May 2026

Opening of the subscription period: 12 May 2026

Expected commencement of trading in subscription rights: 18 May 2026

End of trading in subscription rights: 28 May 2026

Closing of the subscription period: 01 June 2026

Allocation of shares: 11 June 2026
