Commencement of review of strategic options and signing of contract toperform IP valuation of the company.The Management Board ofGenomtec S.A., based in Wrocław, Poland (the _quot;Issuer_quot;, the _quot;Company_quot;)announced that it has initiated a review of strategic options.Undertaking the aforementioned actions is aimed at realizing theCompany's long-term business goals, which are expected to lead to anincrease in the Company's value for current and future shareholders.Asof the date of publication of this report, no decisions have been maderegarding the selection of a specific option, and the option reviewitself may be a lengthy process. In particular, the Company's Board ofDirectors may consider such strategic options as, for example: changingthe Company's ownership structure, entering into an alliance orstrategic partnership, merging with another entity, including also, ifnecessary, seeking an investor for the Company, including an industryentity or financial investor.In addition, the Board of Directorswill decide to make or recommend any decision in the future regardingthe selection of a specific option only if it is more favorable to thecurrent strategy. As a result, it may turn out that after the review ofstrategic options, no option will be selected for further implementationand, as a result, there will be no significant changes in direction.Asa first step to facilitate the Board of Directors' full analysis ofpossible strategic options, the Company entered into an agreement withDennemeyer Consulting GmbH (_quot;Dennemeyer_quot;) today, i.e. 7 Sept. 2022, toperform an estimate of the value of the intellectual property rightsportfolio held by the Company (the _quot;Agreement_quot;). Under the Agreement,Dennemeyer will perform a strategic IP valuation for the purpose ofanalyzing various activities supporting the Company's strategicdevelopment.Dennemeyer is a reputable global firm providinglegal services in the areas of patents, trademarks, data verification,project execution, audit support during litigation as well as otherservices related to intellectual property portfolio management.Dennemeyer is an entity with more than 60 years of tradition and 20regional offices located on 6 continents.The Issuer will informabout the next significant stages of the strategic options reviewprocess in current reports.
