Changes in Supervisory Board of Globe Trade Centre SA
The management board of Globe Trade Centre SA ("GTC", "Company") informsthat on 25 August 2023, received a written statements of Gyula Nagyaccording to which Mr. Nagy resigned from his seat on the supervisoryboard of the Company, effective 24 August 2023.
Additionally, Company received a written statement of GTC Dutch HoldingsB.V. with its registered office in Amsterdam, the Netherlands (the"Entitled Shareholder"), according to which the Entitled Shareholderappoints Mr. L_#225;szló Gut as member of the Supervisory Board of theCompany, effective as of 24 August 2023. Appointment was made pursuantto article 9 point 1 a)-c) of the articles of association of the Company.
Pursuant to its statement and the deposit certificate attached thereto,the Entitled Shareholder holds 247,461,591 shares in the Company, whichconstitute 43.10% of the Company's share capital.
L_#225;szló Gut graduated from the Faculty of Finance and Accountancy of theBudapest Business School in 2014. Mr. Gut started his career as anauditor at Ernst _amp; Young, gaining significant experience - among others- in real estate and oil _amp; gas industries. As an auditor, he observedthe operation of listed companies from close and participated a numberof management board, audit committee and supervisory board meetings.After 8 years, he decided to look for new challenges in his professionalcareer and joined Optima Investment Ltd. Since January 2022 he leads thefinancial department.
According to his statement, L_#225;szló Gut is not entered in the register ofinsolvent debtors maintained in compliance with the Act on the NationalCourt Register dated 20 August 1997, does not perform any activitiesoutside of the Company's business which could be considered competitivewith respect thereto, does not participate in any competitive businesseither as a partner in a civil partnership or any other type ofpartnership, and is not a member of the authorities of any competitivecompany or any other competitive entity.
