Conclusion of a loan facility agreement with J_T BANKA a.s

The Management Board of Globe Trade Centre S.A. (the "Company" or "GTC")hereby announces that on 18 June 2025, Centrum Światowida sp. z o.o.with its registered seat in Warsaw ("Galeria Północna"), a subsidiary ofGTC, signed a loan facility agreement (the "Facility Agreement") withJ_T BANKA, a.s. with its registered seat in Prague ("J_T BANKA").

Under the terms of the Facility Agreement, Galeria Północna will begranted a loan facility in the amount of up to EUR 84,000,000 (the"Loan"). Galeria Północna is required to pay interest based on 3MEURIBOR plus an applicable margin. The Loan will mature 5 years from thedate of the Facility Agreement and will be repaid based on a 24-yearamortisation repayment profile, commencing one year after disbursement.The pro-forma average cost of debt of the Company post the Loan will be3.69%.

The Loan will be secured by standard security instruments for suchfacilities, including among others: (i) a pledge on the shares ofGaleria Północna; (ii) a first-ranking mortgage over Galeria Północna'sreal property located in Warsaw; (iii) a pledge over Galeria Północna'sbank accounts; (iv) a pledge over Galeria Północna's enterprise; (v) anassignment of receivables, rights under insurance policies.

The proceeds of the Loan will be used in part to enhance the Company'sliquidity profile and in part to finance the acquisition of remaining10.1% stake in the German residential portfolio, as referred to incurrent report no. 14/2025, which will also support the initiation ofthe Company's disposal strategy in respect to this portfolio. Thedisbursement of the Loan under the above-described Facility Agreement issubject to a number of standard conditions precedent. The terms andconditions of the Facility Agreement are in line with the generallyapplied standards for this type of agreement.
