Change in the Supervisory Board of Globe Trade Centre S.A.

The Management Board of Globe Trade Center S.A. ("Company"), herebyinforms that on 10 July 2025, it received a written notice from GTCDutch Holdings B.V. with its registered office in Amsterdam, theNetherlands (the "Entitled Shareholder"), according to which theEntitled Shareholder appoints Mr. Zoltn Martonyi as member of theSupervisory Board of the Company, effective immediately. The appointmentwas made pursuant to article 9 point 1 a)-c) of the Articles ofAssociation of the Company.

Pursuant to the deposit certificate attached to the notice, GTC DutchHoldings B.V. holds 337,637,591 shares in the Company, which constitute58.80% of the Company's share capital, and therefore is entitled toappoint members of the Supervisory Board of the Company pursuant to theArticles of Association of the Company.

According to the statements Mr. Zoltn Martonyi is not entered in theregister of insolvent debtors maintained in compliance with the Act onthe National Court Register dated 20 August 1997, do not perform anyactivities outside of the Company's business which could be consideredcompetitive with respect thereto, do not participate in any competitivebusiness either as a partner in a civil partnership or any other type ofpartnership, and is not members of the authorities of any competingcompany or any other competing entity. Moreover, Mr. Zoltn Martonyifulfils the independence criteria as specified in Annex No. II toCommission Recommendation 2005/162/EC of 15 February 2005 on the role ofnon-executive or supervisory directors of listed companies and on thecommittees of the (supervisory) board.

Dr. Zoltn Martonyi is a senior partner at Martonyi _ Partner Law Firm,advising on complex legal, financial, and defense industry transactions.He previously served as a global relationship partner at PwC and heldsenior roles at leading international law firms, including Linklatersand Baker _ McKenzie, where he was a partner leading the banking andfinance practice in Budapest. Dr. Martonyi holds an LL.M. from CornellLaw School and a law degree from Eötvös Lornd University. He currentlychairs the supervisory board of the Foundation for Theatre and Film Artsand leads the international affairs committee of the Hungarian DefenceIndustry Association. He is a former member of the board of directors ofKDB Bank Europe Zrt. and currently serves on the supervisory board ofthe Habsburg Ottó Foundation.
