Change in the Supervisory Board of Globe Trade Centre S.A.

The Management Board of Globe Trade Center S.A. ("Company") herebyinforms that on 15 July 2025, it received a written notice from GTCDutch Holdings B.V. with its registered office in Amsterdam, theNetherlands (the "Entitled Shareholder"), according to which theEntitled Shareholder appoints Ms. Sarolta Vrszegi as member of theSupervisory Board of the Company, effective immediately. The appointmentwas made pursuant to article 9 point 1 a)-c) of the Articles ofAssociation of the Company.

Pursuant to the deposit certificate attached to the notice, EntitledShareholder holds 337,637,591 shares in the Company, which constitute58.80% of the Company's share capital, and therefore EntitledShareholder is entitled to appoint members of the Supervisory Board ofthe Company pursuant to the Articles of Association of the Company.

According to the statements Ms. Sarolta Vrszegi is not entered in theregister of insolvent debtors maintained in compliance with the Act onthe National Court Register dated 20 August 1997, does not conduct anybusiness activity outside the Company that is competitive with itsoperations., does not participate in any competitive business either asa partner in a civil partnership or any other type of partnership, andis not members of the authorities of any competing company or any othercompeting entity. Moreover, Dr. Sarolta Vrszegi fulfils theindependence criteria as specified in Annex No. II to CommissionRecommendation 2005/162/EC of 15 February 2005 on the role ofnon-executive or supervisory directors of listed companies and on thecommittees of the (supervisory) board.

Dr. Sarolta Vrszegi is an attorney-at-law holding an LL.M. fromUniversity College London (UCL) and the Certified European FinancialAnalyst (CEFA) designation, with 20 years of experience in advisingcorporate clients on corporate law, mergers and acquisitions, corporaterestructurings, as well as capital markets transactions involving debtinstruments and shares, stock exchange listings, and corporategovernance. She started her practice in the Budapest offices ofinternational law firms such as Clifford Chance and White _ Case. Beforeestablishing Vrszegi Law Firm, she held the position of manager, andsubsequently associate partner at EY, co-heading the legal service lineand managing complex projects. Dr. Sarolta Vrszegi is a member of theIssuers Committee of the Budapest Stock Exchange.
