Settlement of the call option for shares in the German residentialportfolio
In reference to the current report no. 1/2025 dated 2 January 2025, thecurrent report no 14/2025 dated 1 June 2025, the current report no.7/2025 dated 16 April 2025 and the current report no. 10/2025 dated 30April 2025, the Management Board of Globe Trade Centre S.A. (the"Company" or "GTC") hereby informs that on 15 July 2025, the Companyfully settled the option to purchase all of the shares held by LFHPortfolio Acquico S. R.L. and ZNL Investment S. R.L. in KaiserslauternI GmbH _ Co. KG, Kaiserslautern II GmbH _ Co. KG, PortfolioKaiserslautern III GmbH, Portfolio KL Betzenberg IV GmbH, Portfolio KLBetzenberg V GmbH, Portfolio Kaiserslautern VI GmbH, PortfolioHeidenheim I GmbH, Portfolio Kaiserslautern VII GmbH and PortfolioHelmstedt GmbH (the "Call Option"). The Call Option was financed partlywith the Company's own resources and partly with a loan granted to theCompany by J_T BANKA a.s., as announced in current report no. 15/2025dated 18 June 2025.
Accordingly, pursuant to the terms and conditions of the bearersubordinated participating series A notes, with a total nominal value ofEUR 41,821,389.06 (the "Participating Notes"), as of 15 August 2025, theCompany will regain its right to early redemption of the ParticipatingNotes, provided that the General Meeting adopts a resolution to increasethe Company's share capital (requiring the exclusion of pre-emptiverights of the Company's shareholders) and/or any other resolutionnecessary to effectuate the Company's right to early redemption (the"Share Capital Increase").
Upon early redemption, the Participating Notes will be redeemed by wayof set-off against the subscription price of the equity instruments tobe subscribed for by the noteholder under the Share Capital Increase,with no additional redemption amount due and no cash payable to thenoteholder.
