Title:Conclusion of loan agreement between companies within the Capital Groupof Grupa Pracuj S.A.

TheManagement Board of Grupa Pracuj S.A. with its registered office inWarsaw (the "Company") informs that on October 22, 2025 theCompany entered into a loan agreement with softgardene-recruitingGmbH with its registered office in Berlin - a subsidiary of the Company,in which the Company indirectly holds 100% of the share capital and ofthe total number of votes.

Underthe agreement, softgarden e-recruiting GmbH granted the Company anunsecured loan in the amount of EUR 18,000,000, bearing interest at anannual rate of EURIBOR 6M plus the lender's margin, with a repaymentdate set for 1 July 2027. The loan was granted for the purpose offinancing the Company's business operations. The agreement is governedby Polish law.

Additionally,the Company will enter into a subordination and assignment ofreceivables agreement with softgarden e-recruitingGmbH andBNP Paribas Bank Polska S.A. (acting as the security agent). Under thisagreement, the receivables arising from the loan agreement will beassigned to the security agent and the loan will be subordinated interms of repayment priority to the receivables of the bank consortiumunder the facility agreement, of which the Company informed in currentreport no. 11/2022.

TheCompany's Supervisory Board has granted its consent to the conclusion ofthe aforementioned agreements.
