2025-04-29 report no. 13/2025: Appointing the Bank Management Board forthe new term of office.

On 29 April 2025, pursuant to the Bank Supervisory Board Resolution of 3September 2024, Mr Michał Bolesławski assumed the function of thePresident of the Bank Management Board. The notice of the resolutionadopted by the Supervisory Board and of the required consent obtainedfrom the Polish Financial Supervision Authority to holding this functionby Mr Michał Bolesławski was provided in current reports nos. 27/2024 of3 September 2024 and 38/2024 of 20 December 2024 respectively.

On 29 April 2025, the Supervisory Board of ING Bank Śląski S.A. ("Bank")appointed the Bank Management Board for the new term of office in thefollowing composition: Ms Joanna Erdman - Vice-President of the BankManagement Board, Mr Marcin Giżycki - Vice-President of the BankManagement Board, Ms Bożena Graczyk - Vice-President of the BankManagement Board, Mr Marcin Kościński - Vice-President of the BankManagement Board, Mr Michał H. Mrożek - Vice-President of the BankManagement Board, Mr Maciej Ogórkiewicz - Vice-President of the BankManagement Board, Ms Alicja Żyła - Vice-President of the Bank ManagementBoard.

Furthermore, the Supervisory Board adopted a resolution regardingappointment of Ms Ewa Łuniewska for the Bank Management Board new termof office as of the entry date of an amendment to Article 26.1 of theBank Charter (regarding the number of Bank Management Board Members) inthe Entrepreneurs Register of the National Court Register, as providedfor in Resolution No. 28 of the Ordinary General Meeting of 29 April2025. As agreed with Ms Ewa Łuniewska, she will hold the function of theVice-President of the Management Board of ING Bank Śląski S.A. until 31December 2025.

Ms Joanna Erdman, Mr Marcin Giżycki, Ms Bożena Graczyk, Ms EwaŁuniewska, Mr Michał H. Mrożek and Ms Alicja Żyła held functions on theManagement Board during the previous term of office.

The appointed Management Board Members satisfy all the requirements laiddown in Article 22aa of the Banking Law Act of 29 August 1997. Theyneither pursue competitive activity towards ING Bank Śląski S.A. norparticipate in competitive companies/partnerships as partners to civillaw partnerships, partnerships, companies or any competitive legalentity as members of their bodies. They are not listed in the Registerof Insolvent Debtors maintained pursuant to the National Court RegisterAct of 20 August 1997.
