Subject:Reporton changes to the composition of the JSW S.A. Management Board

Bodyof the Report:

TheManagement Board of Jastrzębska Spółka Węglowa S.A. ["JSW", "Company"]hereby reports that on 17 April 2024 the Company's Supervisory Boardadopted resolutions to dismiss, as of 6 May 2024, Mr. Robert Ostrowskifrom the position of Vice-President of the Management Board forFinancial Matters of the 11th term of office.

Reasonsfor the dismissal of the aforementioned person were not specified.

At thesame time, the Company's Supervisory Board adopted resolutions to:

_#183;appoint,as of 30 April 2024, Mr. Ryszard Janta as the President of theManagement Board of the 11th term of office,

_#183;_#160;_#160;_#160;appointMr. Ryszard Janta as acting Vice-President of the Manaagement Board forDevelopment Matters in the period from 30 April 2024 to 6 May 2024. Inthe above period Mr. Ryszard Janta will also remain President of theManagement Board,

_#183;_#160;_#160;_#160;appoint,as of 6 May 2024, Mr. Remigiusz Krzyżanowski as the Vice-President ofthe Management Board for Financial Matters of the 11th term of office,

_#183;_#160;_#160;_#160;appoint,as of 6 May 2024, Mr. Jarosław Kluczniok_#160;asthe Vice-President of the Management Board for Development Matters ofthe 11th term of office.

Atthe same time, the JSW Management Board reports that, in accordance withthe submitted representations, the aforementionedpersons, i.e.:Mr.Ryszard Janta, Mr. Remigiusz Krzyżanowski andMr. Jarosław Kluczniokare not involved in any activities competitive to those they perform atJSW, are not partners or shareholders in any competing civil lawcompany, partnership or capital company, nor are they involved in anyother competitive legal person as members of its governing body. Thenewly appointed persons are not entered in the Register of InsolventDebtors kept pursuant to the provisions of the National Court RegisterAct and in the National Register of Indebted Persons kept pursuant tothe Act of 6 December 2018 on the National Register of Indebted Persons.

TheCompany will provide the other information about the above persons,which is required by the Regulation issued by the Finance Minister on 29March 2018 on the Current and Periodic Information Transmitted bySecurities Issuers [...] are attached to this current report.
