Non-finaldecision of the Court
TheManagement Board of AFORTI Holding S.A. w restrukturyzacji (inrestructuring) with its registered office in Warsaw (hereinafterreferred to as the "Company") hereby announces that on the evening ofJuly 22, 2025, a notice was published in the National Debt Registerregarding the refusal to approve the Company's arrangement, issued bythe District Court for the capital city of Warsaw in Warsaw, 18thCommercial Division, in proceedings under file reference numberWA1M/GRz/246/2024. At 7:03 p.m., a media publication titled "Court: noto arrangement in Aforti" was published on the website www.pb.pl:(https://www.pb.pl/sad-nie-dla-ukladu-w-aforti-1245570), from where theCompany's Management Board learned of the refusal to approve thearrangement.
Thepress release indicates that the Court issued its ruling based on theclaims of the compulsory administrator, Marcin Kubiczek. The Company hasextensively challenged the reports of the compulsory administrator(https://newconnect.pl/komunikat?geru_id=228291_title=Stanowisko+Aforti+Holding+S.A.+do+sprawozdania+Zarz%C4%85dcy+Przymusowego+Marcina+Kubiczka),accusing the compulsory administrator of a blatant conflict of interestand acting to the detriment of the Company's assets and creditors.
TheCompany's claims are consistent with the supervisory actions takenagainst the Compulsory Administrator by the Ministry of Justice, whichmay result in the revocation of the license of qualified restructuringadvisor Marcin Kubiczek(https://www.gov.pl/web/sprawiedliwosc/kontrola-nad-dzialalnoscia-syndyka-ministerstwo-analizuje-sprawe-marcina-kubiczka).In the opinion of the Company's Management Board, the Court should nottake into account any claims made by the compulsory administratorsubject to supervisory actions. The Ministry of Justice's announcementincludes the following:"In response to media reports, the Ministryof Justice would like to remind you that official administrativeproceedings are underway against restructuring advisor Marcin Kubiczek -one of the most recognizable figures in the bankruptcy and trusteecommunity in Poland. The proceedings were initiated by the decision ofthe Minister of Justice of May 20, 2025, and concern the revocation ofthe restructuring advisor's license."
TheCourt's decision is not final. The Company is taking legal action toappeal the decision refusing approval of the arrangement.
TheCompany reminds that the Company's arrangement was approved by itscreditors, and the arrangement proposals represent an opportunity torepay creditors. The Court's decision is unfair not only to the Company,its creditors, and investors, but also violates the principle ofsatisfying creditors to the fullest extent possible.
