Receipt of a document titled "Offer Notice" from Sumitomo Metal MiningCo., Ltd. and Sumitomo Corporation

The Management Board of KGHM Polska Miedź S.A. ("the Company")announces, in reference to regulatory filing no. 29/2020 dated 7 October2020, that it received a document "Offer Notice" prepared by SumitomoMetal Mining Co., Ltd. and Sumitomo Corporation ("Sumitomo"). Thisdocument was presented to the Company in connection with the intent tosell the entirety of the shares of Sumitomo in the joint venture companySierra Gorda SCM ("Sierra Gorda") to the Australian mining group South32.

The document is subject to analysis under the right of first refusal ofthe Company to acquire shares in Sierra Gorda belonging to Sumitomo. Thedecision on the aforementioned matter will be announced by the Company'sManagement Board via a separate regulatory filing.
