Receiptby the Issuer's subsidiary of a declaration of waiver of an annex to amaterial contract.ManagementBoard of the Economic Corporation _quot;effect_quot; S.A. with its registeredoffice in Kraków (hereinafter also referred to as: the _quot;Issuer_quot;) inreference to the information covered by current report No. 17/2019 ofJuly 3, 2023 on the conclusion by the Issuer's subsidiaries, i.e.:Tekst- Hotele S.A. and Lider Hotel Sp. z o. o. annexes to leaseagreements for hotel facilities located in Krakow at ul. Opolskaconcluded with Central Fund of Immovables Sp. z o. o. based in Łódź,hereby announces to the public that on April 3, 2024, Lider Hotel Sp. zo. o. The lessee's declaration of waiver of the effects of the annex tothe lease agreement signed on July 3, 2023, modifying the rules forsettling the lease rent, was received.CentralFund of Immovables Sp. z o. o. in the submitted declaration, shereferred to an error as to the legal transaction, justifying thesubmission of the said declaration of March 25, 2024, by the inabilityto regulate the lease rent calculated in accordance with the principlesset out in the annex to the lease agreement of July 3, 2023, accordingto which the amount the lease rent, according to the tenant'scalculations, is the equivalent of 33% of the value of revenues obtainedfrom the hotel business conducted by the tenant under the lease,provided that it cannot be lower than PLN 566,000 in the period fromJuly to December 2023; PLN 615,000.00 in 2024 and PLN 650,000.00 in 2025.Moreover,with reference to Art. 700 of the Civil Code, the tenant questioned theamount of rent for the period from July 2023, pointing out that, in hisopinion, the amount of rent was not correlated with the revenuepotential of the leased property and therefore, he declared his will tosettle the rent in accordance with the rules applicable until July 2023.Questioningthe factual and legal basis of the statement in question, the Issuerdemanded that the lessee present source documentation regarding thecircumstances from which the lessee derives legal consequences and,after analyzing them, it will immediately decide on further legal stepsto pursue the disputed receivables amounting to approximately PLN5,200,000.00. PLN and the termination of the agreement between theIssuer's subsidiary and Central Fund of Immovables Sp. z o. o. leaseagreement, or if the tenant's position turns out to be rational andeconomically justified, to conclude an agreement with the tenantregarding the settlement of disputed receivables arising from the leaserent and securing the interests of Lider Hotel Sp. z o. o.Theabove information is made public due to the fact that the leaseagreement on the conclusion and amendments of which the Issuer informedin current reports is the basic agreement constituting a source ofincome for the Issuer's subsidiary, enabling the servicing of the creditobligation to the bank Powszechna Kasa Oszczedności Bank Polski SpółkaJoint stock.
