Subject:Conclusion of a significant agreement

TheManagement Board of ManyDev Studio SE (the _quot;Company_quot;, _quot;Issuer_quot;) informsthat today, i.e. on 20 January 2022, the Company (as _quot;Developer_quot;) andBingle Games sp. z o.o. in organization with its registered seat inKrakow (as _quot;Publisher_quot;) signed a development agreement for theproduction of a video game under the working title _quot;The Edge ofCollapse_quot;, based on a series of novels under the same title by an authornamed Kyla Stone (the _quot;Agreement_quot;).

Inaccordance with the concluded Agreement, the Company will create a gamefor the PC computer, in a system of milestones, according to thefollowing scheme

forthe stages to create the Demo version - PLN 276,000 net,

forthe stage to create the Prologue: 324 000 PLN net,

forfull version of the game: 1 296 000 PLN net

whereasthe Publisher will have the right to resign from further work aftercompletion of each of the above-mentioned stages. Apart from theremuneration specified in the agreement, the Developer will be entitledto a percentage share of the net profit from the sale of the gameamounting to 23%.

heestimated total duration of the Agreement is 35 months.

Otherterms of the agreement do not deviate from standard terms used in thegamedev industry.

TheCompany's Management decided to publish this information due to the factthat it may have a significant impact on the Company's financial andasset situation, full utilization of the capabilities of developmentteams cooperating with the Issuer and a potentially significant impacton the valuation of the Company's financial instruments.
