Election of the Management Board of mBank S.A. for a new term ofoffice

The Management Board of mBank S.A. hereby announces that on March 27,2024, the Supervisory Board of mBank S.A. elected members of theManagement Board for a term of office starting as of 28 March 2024, inthe following compositions:

Cezary Stypułkowski - President of the Management Board, wherein theSupervisory Board agreed with Mr. Cezary Stypułkowski that he willperform his function until the date of the Ordinary General Meeting ofShareholders approving the financial statements of mBank S.A. for thefinancial year 2024.Cezary Stypułkowski has served as the Presidentof the Management Board since 2010.Since 2023, he has been thechairman of the Council of the Polish Bank Association (ZBP), where healso chairs the Section of Large Banks. Since 2022, he has sat onMastercard's Advisory Board.Between 2006 and 2010, CezaryStypułkowski worked for the investment bank J.P. Morgan in London, wherein 2007 he was appointed as the managing director of J.P. Morganresponsible for Central and Eastern Europe.In 2003-2006, he servedas the president of the management board of PZU Group, and in 1991-2003he chaired the management board of Bank Handlowy S.A.CezaryStypułkowski was a member of the international advisory boards ofDeutsche Bank's management board, INSEAD and the Geneva Association.Since 2012, he has been the co-chairman of the Emerging Markets AdvisoryCouncil of the Institute of International Finance in Washington, DC.Heholds a PhD in law from the University of Warsaw. In the late 1980s, hestudied at Columbia University Business School in New York as a granteeof the Fulbright Program.Cezary Stypułkowski has no records in theRegister of Insolvent Debtors maintained under the National CourtRegister Act.To the best knowledge of the Bank, Cezary Stypułkowskiis not involved in any activities which compete with those carried outby the Bank.

Cezary Kocik - Vice-President of the Management Board, Head of RetailBankingCezary Kocik has served as the Vice-President of theManagement Board, Head of Retail Banking since 2012.Since 2004, with thesupport of mBank's Retail Banking team he has been responsible forcreating a comprehensive range of products and services for individuals,businesses and small enterprises in Poland, Czechia and Slovakia. Headditionally supervises the Private Banking and Wealth Management clientsegment, the Brokerage Bureau and the TFI.Before joining mBank,Cezary Kocik gained experience in the field of investment banking,restructuring and debt collection in the now-defunct Powszechny BankGospodarczy (PBG). He also served as the director of the Łódź branch ofBank Pekao S.A., the fifth largest branch of what at the time was thesecond most popular bank among Polish retail clients.He graduatedfrom the University of Łódź with a degree in Banking and Finance. Hecompleted the Advanced Management Program (AMP 189) at Harvard BusinessSchool in 2015 and the Strategic Management in Banking course at INSEADin March 2018. Marek Lusztyn - Vice-President of the Management Board, Chief RiskOfficerMarek Lusztyn serves as the Vice-President of the ManagementBoard, Chief Risk Officer since 2020.He has over 25 years ofexperience in the financial sector. From July 2017 to June 2020, he saton the management board of Pekao S.A., where he held the positions ofthe Chief Risk Officer and the Chief Executive Officer.He worked forBank Pekao S.A. (which in 1999-2017 was a subsidiary of UniCredit Group)for 20 years. From 2000 to 2008, he held the position of the director ofthe Market Risk Management office and then the director of the FinancialRisk Management Department. For nearly 10 years he was responsible forglobal risk management functions in international structures ofUniCredit Group in London, Munich and Milan.Marek Lusztyn embarkedon his professional career at Bank Handlowy w Warszawie S.A., where heworked in the Treasury and Foreign Exchange Department from 1996 to 2000.InSeptember 2019, he became a member of the Board of the Warsaw School ofEconomics (SGH). He was appointed by the SGH Senate after beingrecommended by the SGH Corporate Partners Club, a group of leadingPolish and international companies working closely with SGH. Currently,he works there as an assistant professor at the Banking Institute.SinceJune 2022, Marek Lusztyn has served as the president of the supervisoryboard of the Commercial Banks Institutional Protection Schemeestablished by the eight biggest banks in Poland in order to fosterstability in the banking sector.In 2014 he was awarded the title ofFuture Leader in Global Finance by the Institute of InternationalFinance in Washington.He holds a PhD in economics from the WarsawSchool of Economics (SGH) and completed the Executive MBA programme atthe University of Illinois and the University of Warsaw. He alsograduated from INSEAD and holds a bachelor degree in computer scienceengineering. Pascal Ruhland - Vice-President of the Management Board, Chief FinancialOfficerPascal Ruhland joined mBank as CFO in 2023 and has more than15 years of professional experience in the banking sector. As ManagingDirector he was the Divisional CFO for the Corporate Clients Segment,and prior to that he held the position as the Head of DivisionalControlling for Corporate Clients at Commerzbank AG. In the past heworked in Germany, Poland, Hong Kong as well as in the UK and gainedexperience especially in Finance, Corporate and retail banking.PascalRuhland completed his master's program in Accounting and Finance at theUniversity of Applied Sciences in Frankfurt am Main. Furthermore, Pascalcompleted the Strategic Financial Leadership Program for CFOs atStanford University, the Executive Program for Prospective CFOs atChicago Booth and the Leading Digital Transformation Program at theIndian Institute of Management BangalorePascal Ruhland has norecords in the Register of Insolvent Debtors maintained under theNational Court Register Act.To the best knowledge of the Bank,Pascal Ruhland is not involved in any activities which compete withthose carried out by the Bank.

Adam Pers - Vice-President of the Management Board, Head of Corporateand Investment BankingAdam Pers has served as the Vice-President ofthe Management Board, Head of Corporate and Investment Banking since2017.He has been working for mBank since 2012. He successfullyconducted a reorganisation process in the financial markets sales area,which resulted in a substantial increase in revenue. Then, as a managingdirector, he also supervised the integration of the area of cooperationwith financial institutions and finally, the integration with thetrading area.Earlier, he had worked in Raiffeisen Bank Polska S.A.Group for many years, at first in the back office, then in CorporateBanking, and finally in Financial Markets. He was responsible for twostrategic projects for the reorganisation of the dealing room and forone of the pillars of the bank's strategy. As a member of the OperatingCommittee, during the financial crisis he assumed responsibility for thebank's liquidity. Adam Pers began his professional career as a traineein Wielkopolski Bank Kredytowy S.A.In RBI Group, he was awarded thetitle of the TOP Performer and Leader of the Year.Adam Persgraduated from the Faculty of Economics of the Academy of Economics inPoznań. Krzysztof Dąbrowski - Vice-President of Management Board, Head ofOperations and ITKrzysztof Dąbrowski has served as theVice-President of Management Board, Head of Operations and IT since 1April 2017.In 2014-2017 he was the managing director for IT andtechnology at mBank.Prior to that, as the CTO of Allegro Group, thePolish e-commerce leader, he had supervised one of the biggest Agiletransformations in the region.In 2004-2011, as the head of theSoftware Development Department, he co-created the Polish sharedservices centre of F. Hoffman-La Roche, which is among the largestpharmaceutical companies worldwide.In 1995-2003, he worked in theInternet and telecommunications industry for Polska Online and TDCInternet, where he was responsible for the development of hostingsystems and services.Krzysztof Dąbrowski graduated from the WarsawUniversity of Technology, Faculty of Electronics and InformationTechnology. Julia Nusser - Vice-President of the Management Board, Head ofCompliance, Legal Issues and HRJulia Nusser has been theVice-President of the Management Board, Chief People and RegulatoryOfficer since 2023.She boasts more than 25 years of professionalexperience in the banking sector. She has been managing large anddiverse teams for over 20 years. Julia Nusser joined mBank fromCommerzbank AG, where she had served as the managing directorresponsible for KYC (Know Your Customer) processes and systems. Thisincluded creating, developing, implementing, and operating of first lineof defence KYC systems and processes for Commerzbank AG worldwide forall client groups. Until 2020, she had been the Managing Director andGlobal Head of Trade Finance Operations at Commerzbank AG. In the past,she held various internal audit functions at Dresdner Bank (lateracquired by Commerzbank AG).
