Resolution ofthe Supervisory Board concerning the "Capital Management Strategy ofmBank Group" regarding change of the Dividend Policy

The ManagementBoard of mBank S.A. (_quot;Bank_quot;) informs that on July 25th 2024 theSupervisory Board approved the updated "Capital management strategy ofmBank Group". It assumes that no dividend will be paid out from theprofit earned by the mBank S.A. in 2024. mBank plans to use retainedcapital for_#160;growth of loan volumes, while maintaining capital buffersabove regulatory requirements and in line with the Bank's strategy. Thelong-term strategy of mBank for subsequent years assumes dividendpay-out at the level of 50%.

This decisionfollows the Management Board resolution dated on July 24th 2024, aboutwhich the Bank informed in the current report no. 44 / 2024 published onJuly 24th 2024.
