In relation to the current report no 61/2024, the Management Board ofmBank S.A. (Bank) informs that on 28 February 2025, the SupervisoryBoard of the Bank elected Mr. Carsten Schmitt as a new member of theSupervisory Board of the Bank, for the period starting from 28 February2025.Mr Carsten Schmitt graduated from the Frankfurt School ofFinance and Management with a degree in Economics and Finance. Inaddition, he completed the leadership competencies programme at SaidBusiness School in Oxford UK. He holds Eurex Trader licence from theEurex, Deutche Boerse.
Mr Carsten Schmitt has more than twenty seven years of professionalexperience in the banking sector and more than thirteen years he holdsexecutive and managerial positions. He has gained his experience ininternational banks in Germany, Denmark, London and New Yorkconcentrating on the area of financial markets, treasury activities andfinance management. During the last years he held the position ofExecutive Vice President responsible for long-term strategy and mergersand acquisitions for the capital group of Danske Bank in Copenhagen,Denmark. Earlier for many years, he held various positions atCommerzbank, among others as Divisional Board Member, Head of GroupFinance, earlier as Divisional Board Member and Key Area Lead, CorporateClients Trading.
Since 1 February 2025 he joined Commerzbank AG as a result ofdesignation for the position of the Member of the Management Boardresponsible for Finance area (Group CFO), and since 19 February 2025 heis the Member of the Management Board responsible for Finance area(Group CFO).According to the information available to the Bank'sManagement Board, Mr. Carsten Schmitt does not conduct any activitycompetitive to the Bank, and does not participate in a companycompetitive to the Bank as a partner in a civil partnership,partnership, or capital company, and does not participate in a legalperson competitive to the Bank as a member of its body.
In accordance with the criteria used by the Bank, Mr. Carsten Schmitt isnot an independent member of the Supervisory Board of the Bank.
Mr. Carsten Schmitt is not listed in the Register of Insolvent Debtorskept pursuant to the National Court Register Act.
