Registration by the court of amendments to the By-laws of mBank S.A.

The Management Board of mBank S.A. (the "Bank") hereby informs that on27 April 2026 the Bank received a decision of the District Court for theCapital City of Warsaw in Warsaw, 13th Commercial Division of theNational Court Register, dated 27 April 2026, pursuant to which theamendments to the Bank's By-laws resulting from Resolution No. 26adopted by the 39th Ordinary General Meeting of Shareholders of mBankS.A. on 31 March 2026 were registered.

The registered amendments to the Bank's By-laws include, inter alia, anamendment to § 34 concerning the amount of the share capital and thetotal number of votes. The Bank informed about these changes in currentreport No. 38/2025. The amendment to § 34 of the By-laws merely reflectsthe changes described in report No. 38/2025.

Following the registration of the shares in the securities accounts ofentitled persons, the share capital of the Bank amounts to PLN170,103,364 and is divided into 42,514,841 ordinary bearer shares and11,000 registered ordinary shares, each with a nominal value of PLN 4.Each share carries one vote at the General Meeting of Shareholders ofthe Bank.

The total number of votes resulting from all shares of the Bank amountsto 42,525,841.

The registration concerns the following amendments to the Bank's By-laws:

1. Amendment to § 6 section 1 item 9) by giving it the following wording:"9)taking into deposit valuables and securities,"

2. Amendment to § 6 section 2 item 14) by giving it the followingwording:"14) issuing electronic identification means within themeaning of trust services regulations,"

3. Amendment to § 34 by giving it the following wording:"Theshare capital amounts to PLN 170.103.364 (one hundred seventy millionone hundred three thousand three hundred sixty four) and is divided into42.525.841 (forty two million five hundred twenty five thousand eighthundred forty one) registered and bearer shares with a nominal value ofPLN 4 (four) per share."
