Subject:Medicalgorithmics S.A. signs a contract with a minimum annual value ofPLN 439.2 thousand for the provision of ECG diagnostic service

The ManagementBoard of Medicalgorithmics S.A. ("Company", "Medicalgorithmics")announces that on November 3, 2025, the Company signed an agreement("Agreement") with a partner from England ("Contractor").

Under theAgreement, Medicalgorithmics S.A. will provide the Contractor withaccess to the DeepRhythmPlatform (DRP) software with DeepRhythmAI (DRAI)artificial intelligence algorithms ("ECG Product") in a service-basedmodel, enabling the Contractor to conduct ECG tests for its patients inthe United Kingdom and Ireland. The Agreement also includesimplementation services, maintenance, and ongoing technical support.

According to theterms of the Agreement, the compensation (denominated in GBP) for theservices provided will depend on the number of ECG sessions analyzedusing the Company's software in a given month, at a fixed rate persession based on the test duration, with a contractually guaranteedminimum monthly payment (in GBP). The contractually guaranteed minimummonthly payment for diagnostic tests performed by the Partner willamount to PLN 36.6 thousand (GBP 7.5 thousand) and will apply threemonths after the conclusion of a pilot phase. During the first threemonths after the end of the pilot phase, the Contractor will pay theCompany PLN 43.9 thousand (GBP 9.0 thousand) per month.

The pilot phaserefers to the initial period of the Agreement, starting on November 10,2025 that will last for three months from the pilot phase start, oruntil the Contractor completes five hundred (500) paid ECG tests underthe pilot program. After the initial period ends, the Agreement will beautomatically extended and will remain in force for an indefiniteperiod, unless the Company provides written notice to the Contractor ofits intention not to extend the Agreement beyond the initial period.

Assumingservices are provided for twelve consecutive months from the moment theminimum monthly payment condition (GBP 7.5 thousand; PLN 36.6 thousand)is met, the guaranteed minimum annual revenue from the contract willamount to PLN 439.2 thousand. After the first twelve months, the partieshave agreed to renegotiate the minimum monthly payment, taking intoaccount the growth in examination volume and the scope of servicescovered by the Agreement.

Following thepilot phase, the Agreement will be extended for an indefinite period,with the possibility of termination by either party with six months'notice. Furthermore, the Agreement allows for immediate termination inthe event of a material breach by either party, following anunsuccessful request to remedy the breach.

The Agreementwas concluded under the laws of England and Wales and includes standardprovisions on representations and warranties, confidentiality, andindemnification, consistent with industry standards.

In the opinionof the Management Board, the conclusion of the Agreement constitutes asignificant step in implementing Medicalgorithmics' expansion strategyin the UK and Irish markets, enabling further scaling of DeepRhythm AIsolutions and increasing revenue from software licensing and B2Bservices.

The GBP valuespresented in this report have been converted to PLN using an exchangerate of 4.8800 PLN/GBP.
