Pursuant to art. 5, item 5 of the Decree of the Minister of Finance of29 March 2018 on current and periodic information disclosed by issuersof securities and the terms governing recognition of informationrequired by the laws of a non-member state as equivalent information,the Management Board of Orange Polska S.A. ("Orange Polska") informsabout appointment of managing persons for the new terms of office.

Jolanta Dudek, Bożena Leśniewska, Piotr Jaworski and Witold Drożdżreappointed for the new terms of office to the Orange Polska ManagementBoard

On 22 March 2024 the Supervisory Board of Orange Polska reappointed thefollowing persons for the next terms of office as members of theManagement Board: Jolanta Dudek, Bożena Leśniewska, Piotr Jaworski andWitold Drożdż.

The renewals were made before the expiration of the current terms ofoffice. The new terms of office start on the day of the next AnnualGeneral Meeting that will accept the financial statements of OrangePolska for 2023. According to the Articles of Association of OrangePolska, the term of office of the Management Board member is three yearscalculated from the appointment date to the date of the General Meetingwhich approves the financial statements for the second full financialyear of his service as a member of the Management Board, for a period ofthree years.

Jolanta Dudek is the Vice President in charge of Consumer Market, BożenaLeśniewska is the Vice President in charge of Business Market, PiotrJaworski is the Board Member in charge of Networks and Technology andWitold Drożdż is the Board Member in charge of Strategy and CorporateAffairs

Jolanta Dudek (born 1964), Vice-President of the Management Board ofOrange Polska in charge of Consumer Market since July 1, 2021. She beganher career in telecommunications at PTK Centertel in 2000, holdingmanagement positions related to mass customer care and taking part inthe development of customer service for the Idea mobile network.

Between 2004 and 2010, she served as Director of Business CustomerService for the Orange network. In October 2010, she was appointedDirector of Mobile Business Customer Service in Orange Customer Service.From November 2013, she was the Executive Director in charge of CustomerCare in Orange Polska. Until incorporation of Orange Customer Serviceinto Orange Polska's main structure in 2016, she served as CEO of OrangeCustomer Service. In 2015, she was appointed the Management Board Memberin charge of Customer Experience.

She is a graduate of the Faculty of Philology at the University ofSilesia and postgraduate studies in European Economy Management with adiploma from French Ecole des Hautes Etudes Commerciales (HEC) and theWarsaw School of Economics (SGH). She is also a graduate of postgraduatestudies at the Academy of Leadership Psychology at Warsaw University ofTechnology Business School. She is also an experienced Lead Auditor ofQuality Management System ISO 2002 and Customer Operations PerformanceCenter (COPC_#174;) Co ordinator.

According to her statement, Jolanta Dudek does not conduct any businessactivity outside Orange Polska and is not a partner in any partnershipunder civil law or another type of partnership, or a member of agoverning body of any incorporated company or any other legal entitywhich would be competitive to Orange Polska. Jolanta Dudek is not listedin the Register of Insolvent Debtors maintained pursuant to the NationalCourt Register Act.

Bożena Leśniewska (born 1965), since 2017, as the Vice-President of theManagement Board, she has been in charge of Business Market. She hasmore than 20 years' experience in the telecommunications sector.

From 1996 she was responsible for the sales market in Polkomtel S.A.,initially as Sales Director, then Regional Director, Mass CustomersDepartment Director and Deputy Director of the Business CustomersDepartment. In 2006 she joined the Orange Polska team in PTK Centertelas Deputy Branch Director of Sales for Business Market, then BranchDirector of Business Market Sales. From 2008 she was Branch Director forBusiness Customers, then Sales Director for both PTK Centertel andOrange Polska. In November 2013, she became Executive Director in chargeof Sales in Orange Polska, and two years later she was appointed theManagement Board Member in charge of Sales and Commercial Digitisation.Since January 2017, as Vice President of the Management Board of OrangePolska, she has been responsible for the business market as well ascompanies Integrated Solutions (2017), BlueSoft (2019), Craftware(2020). She has been a member of the Orange Foundation Board since 2021.In March 2024 she became a member of the Supervisory Board of IntegratedSolutions and a member of the Supervisory Board of BlueSoft.

She is a graduate of the Advanced Management Programme at INSEAD, theAcademy of Mentoring, the Academy of Leadership Psychology at WarsawUniversity of Technology Business School and JagiellonianUniversity.She is also an active mentor and co-author of Europe's first studiesdesigned for women.

Witold Drożdż (born 1974) has been with Orange Polska since 2012, asExecutive Director in charge of Corporate Affairs (from 2012 to November2018) and Management Board Member in charge of Strategy and CorporateAffairs (since November 2018).

From 2010 to 2012, he was the Vice-President of the Management Board andthen acting President of the Management Board for PGE Energia JądrowaS.A. Between 2007 and 2010, he served as Deputy Minister of the Interiorand Administration, responsible for the development of informationsociety and public records, as well as Chairman of the governmentcommittee Digital Poland, and a member of the government Committee forEnergy Security and the inter-ministerial Committee for Digital TV andRadio Broadcasting. He sits on the Orange Foundation Board.

He is a graduate of Law and International Relations at the University ofWarsaw and the Stanford Executive Program at Stanford University.

Piotr Jaworski (born 1961), Management Board Member in charge of Networkand Technology since November 2018. From September 2016 he held theposition of Executive Director in charge of Network and Technology inOrange Polska. He is a Member of the Supervisory Boards of ŚwiatłowódInwestycje and NetWorkS! . In 2008-2022, he served as the Chairman ofthe Supervisory Board of TP Teltech.

Piotr Jaworski has been working at Orange Polska (formerlyTelekomunikacja Polska) since 1991, initially as the Technical Managerin the Białystok Technical Unit, then, in the Company's headquarters, asthe Director of the Business Customer Relations Department and RegionalExecutive Director (for South and Central Regions). Between 2007 and2013, he was the Technical Customer Service Director. Then, until 2016,he worked as the Service Delivery and Maintenance Director, responsiblefor technical processes of service provision and maintenance (for bothOrange customers and alternative operators), network investments(including VHBB FTTH roll-out) and active network maintenance. He hasbeen the leader of several projects in customer experiencedevelopment.Between 2007 and 2020 Member of the OPL Ethics Committee. Hehas been involved in charity work for years.

He has graduated in electronic engineering from the Warsaw University ofTechnology and holds MBA qualifications from the University of Gdańskand the University of Strathclyde in Glasgow.
