The Management Board of MBF Group S.A. with its registered office inWarsaw (the "Issuer," "Company"), with reference to current reports ESPINo. 43/2025 of September 4, 2025, concerning the conclusion of astrategic consortium agreement, and No. 48/2025 of October 2, 2025,concerning the signing of Appendix No. 1 to this agreement, herebyannounces the signing of Appendix No. 2 to the Consortium Agreement onOctober 1, 2025. The document regulates the financing of the first stageof the IRYDA PLUS project, including the construction of a technologydemonstrator (demonstration model), under the supervision of the Companyand with the technological participation of Squadron Sp. z o.o.

At the same time, the Issuer's Management Board explains that Appendix 2specifies that the deadline for completion of work on the demonstratoris set for April 30, 2026, followed by its presentation at a renownedconference.

The Company's Management Board informs that the total financing forstage I is provided by the Issuer as the leader of the Consortium. Thefunds will be paid in tranches, in accordance with the demand reportedby Squadron and supported by a brief description of the plannedactivities, with the payment date for each tranche being 7 days from thedate of invoice issuance. The Issuer emphasizes that, in parallel withthe financing of the first stage, it is conducting activities aimed atattracting an investor or group of investors who will participate in thefinancing and implementation of subsequent stages of the project.

The technology demonstrator includes a complete demonstration model ofthe IRYDA PLUS fighter drone with a length and wingspan of approximately3 meters, made of plastic with elements imitating the engine andpropeller. It will be equipped with a display stand, navigation lights,and electrical installation, as well as a movable observation module. Anintegral part of the demonstrator will be a gun pod with a mock-up of a7.62 mm caliber rifle barrel, electrically rotated vertically andhorizontally, integrated with a virtual simulation system including a 3Dmodel of the aircraft, combat scenarios with air targets, and a joystickto control the camera. The virtual simulation will be linked to both thegun pod and the observation module, ensuring realistic representation ofthe system's operation. The whole will be complemented by a transportcontainer enabling safe movement of the demonstrator and its componentsfor presentations, trade fairs, and tests.

The company informs that Appendix 2 provides for a reporting mechanismafter each tranche and an obligation for Squadron to report anyproblems, extraordinary events, and risks in order to enable the Issuerto support the process on an ongoing basis and ensure its compliancewith the budget and schedule. In the event of a delay or budget overrun,Appendix 2 provides for the contractor's liability, including theobligation to return funds or the possibility of MBF Group withdrawingfrom the agreement.

The Management Board of MBF Group SA emphasizes that the signing ofAppendix 2 is an important stage in the implementation of the IRYDA PLUSproject, as it enables the commencement of material work on thetechnology demonstrator, which is the first step towards theconstruction of a full-fledged prototype. The complete construction of afully functional prototype, assuming full financing is obtained, isplanned for the turn of 2026 and 2027 and will also be the moment whenit will be possible to start the system bidding process and prepare forits serial production. Due to the importance of this stage for thefurther course of the project and its potential impact on the Company'sfinances, the Issuer has deemed this information to be confidential andis disclosing it to the public in accordance with Article 17 of MAR.
