The Management Board of MBF Group S.A. with its registered office inWarsaw (the 'Issuer', 'Company') hereby announces that on 22 October2025 it signed a non-disclosure agreement (NDA) with PCO Spółka Akcyjnawith its registered office in Warsaw ('Agreement'), a member of PolskaGrupa Zbrojeniowa S.A. (PGZ).
The purpose of the Agreement is to enable the parties to exchangetechnical, commercial and organisational information necessary fortechnological cooperation in the development of the IRYDA Plus project -a Polish concept for an unmanned fighter aircraft designed to combatdrones and C-UAS systems.
PCO S.A. is a leading Polish manufacturer of optoelectronic devices,part of Polska Grupa Zbrojeniowa (PGZ). The company specialises in thedesign and manufacture of night vision, thermal imaging and laserdevices for the military and uniformed services. PCO S.A. is the onlymanufacturer in Poland of a full range of such devices and is a keyelement of the national defence industry.
The agreement specifies detailed rules for the disclosure, use andprotection of information constituting trade secrets, and introducesmutual obligations regarding confidentiality, data integrity and aprohibition on competitive activities in relation to the project duringits term. The agreement was concluded for a period of 12 months, withoutthe right of early termination.
In the opinion of the Issuer's Management Board, the conclusion of theAgreement with PCO S.A. opens up the possibility of technologicalcooperation with one of the most important entities in the domesticdefence sector. The Issuer considers this agreement to be significantdue to its potential impact on the development of future research anddevelopment projects, including planned projects in the area of unmannedsystems (UAV/C-UAS), simulation and optoelectronic systems, as well ason the Company's potential revenues in subsequent periods.
At the same time, the Company's Management Board informs that it treatsthe Agreement as one of the key agreements concluded as part of theIRYDA Plus project, which, due to its nature and significance, may havean impact on the results of the project, the Issuer's future revenuesand its share price.
