The Management Board of MBF Group S.A. with its registered office inWarsaw (the 'Company', "Issuer") hereby announces that on 21 October2025 it adopted resolution No. MBF/2025/10/1 on the establishment of anadvisory and expert platform under the name MBF Advisory Alliance (MAA).The adoption of the resolution on the establishment of the advisory andexpert platform is aimed at systematising the numerous discussions andnegotiations conducted by the Company with natural and legal persons whohave expressed interest in cooperation and substantive support inconnection with the activities of MBF Group S.A.

The MAA platform is a new strategic initiative of the Company, the aimof which is to create an international cooperation environment bringingtogether individuals, commercial law companies and industry expertssupporting the Issuer in the field of strategic, technological,financial, legal and organisational consulting. This applies inparticular to initiatives related to military and dual-use projectsimplemented by the Company and its industrial partners. Potentialmembers of the MAA Platform include individuals with high military,scientific or technical qualifications, whose involvement willconstitute significant added value for the development of projects andthe strengthening of the expert competence of MBF Group S.A.

The Platform will perform advisory, expert, representative andanalytical functions, supporting the Management Board in evaluatingproject concepts, recommending technical and financial solutions,developing market analyses and building international relations. The MAAalso aims to support the development of new areas of the Company'sactivity, including industrial, technological and defence projectsimplemented in Poland and abroad.

In accordance with the resolution, selected individuals and entitiesfrom Poland, Europe and other regions of the world with whom the Companyis conducting or intends to conduct talks on the development of jointventures and technological consortia may be invited to join the MAAPlatform. Participation in the Platform will only be possible afteranalysis by the Management Board and upon personal invitation by thePresident of the Management Board of MBF Group S.A.

The Management Board also envisages the possibility of implementing anincentive programme based on subscription warrants, which may be grantedto Platform members in the event of the actual success of the projectsin which they participated. The aim of this programme is to integratethe interests of Platform members with those of MBF Group S.A.shareholders through a joint pursuit of growth in the Company's value.

According to the resolution, the MAA Platform is advisory and informalin nature, but the Management Board allows for the possibility oftransforming it in the future into a separate legal structure - such asa foundation, association or consulting company - depending onorganisational needs and the scale of operations.

The resolution of the Management Board of MBF Group S.A. on theestablishment of the MBF Advisory Alliance advisory and expert platformis confidential information within the meaning of Article 17(1) of theMAR Regulation, due to its potential impact on the Company's currentprojects, future revenues, development of new areas of activity andpossible impact on the Company's share price.
