The Management Board of MBF Group S.A. with its registered office inWarsaw (the 'Issuer', "Company") announces that on 12 November 2025 itsigned two agreements with AutoBOX Innovations Sp. z o.o. Sp. j. withits registered office in Starachowice (the 'Partner'): Agreement onstrategic cooperation and technological consulting and Agreement onconfidentiality and non-circumvention (NCNDA). The Management Boardannounces that, among a number of agreements currently being signed aspart of the IRYDA Plus and Mallard projects, it considers these to beparticularly important. Their significance stems both from the key roleof STAR 266M2 vehicles as a ground component in the IRYDA PLUS andMallard systems, and from the fact that this cooperation effectivelystrengthens the Consortium's implementation and industrial capabilities,opening up the possibility of widespread use of the modernised STARplatform in civil, industrial and defence applications.
AutoBOX Innovations, part of the Zasada Group, is the sole owner of thetechnical documentation rights for STAR trucks, including the STAR 266model and its modernised version, the STAR 266M2. The companyspecialises in the modernisation and production of off-road vehicles andspecialised trucks for the Polish Armed Forces, uniformed services andtechnical services. The modernised STAR 266M2 vehicles are currently akey component of the Polish Army's transport fleet - the companysupplies several hundred units annually in various logistics andworkshop configurations, including under contracts concluded with theMinistry of National Defence.
To the Issuer's knowledge, STAR vehicles are currently the basiccomponent of the transport fleet of the Polish Armed Forces. Theirwidespread use in the logistics and operational structures of the armymeans that the integration of the IRYDA PLUS system with the STAR 266M2platform significantly increases the Company's implementation potential.Basing MBF Group's solutions on a domestic vehicle known and operated bythe Polish Armed Forces ensures full operational compatibility and, atthe same time, constitutes a competitive proposition in future tendersorganised by the Polish military and other uniformed services.
Under the agreements, the Parties have agreed to jointly participate intenders, projects and bidding procedures in which STAR 266M2 vehicleswill be an integral component of the IRYDA PLUS system or other projectscarried out by the MBF Group S.A. consortium. The cooperation alsoincludes the possibility of submitting joint commercial offers,developing demonstration and development concepts, and conducting jointpromotional activities in Poland and abroad. The parties have declaredtheir willingness to engage in long-term cooperation, covering military,civil and dual-use projects, while maintaining confidentiality, mutualtechnological consulting and joint use of the results of developmentwork.
The STAR brand is of particular importance to the IRYDA PLUS project, asit symbolises Polish technical thought, durability and reliability, andits integration with modern unmanned systems is in line with the idea ofcombining tradition with innovation. Under the agreement, STAR 266M2vehicles will serve as the ground component of the IRYDA Plus system,providing a transport, logistics and operational platform for theoperation, command and servicing of drones. This type of solution willensure logistical consistency, ease of implementation and the use ofexisting technical resources of the Polish Armed Forces.
The cooperation between the Issuer and AutoBOX Innovations includes theintegration of the STAR 266M2 vehicle with the IRYDA Plus system, thedevelopment of a specialised version of the STAR 266M2 Operator, theconduct of joint integration and field tests, and the exchange oftechnical and organisational knowledge. The parties also plan to developdemonstration models and jointly participate in domestic and foreignindustrial and research and development projects.
The Company's Management Board emphasises that the signing of agreementswith AutoBOX Innovations is one of the key agreements within the IRYDAPlus and Mallard programmes, and at the same time an important elementin the consolidation of domestic industrial and research competences.Cooperation with the manufacturer of STAR vehicles not only strengthensthe Issuer's technological potential, but also increases its credibilityand competitiveness in domestic and international proceedings. In theopinion of the Management Board, this is a strategic agreement,combining the tradition of the Polish automotive industry with modernsolutions in the field of unmanned technologies.
The agreements are part of a broader plan to develop nationaltechnological potential within the IRYDA Plus and Mallard projects,which aim to build complete, integrated, new-generation unmanned systemscapable of operating in civil, industrial and defence environments.
The issuer considers this information to be confidential within themeaning of Article 17(1) of MAR due to its strategic importance for thedevelopment of the IRYDA PLUS and Mallard projects and its potentialimpact on the Company's financial results, market expansionopportunities and image.
