Conclusion of a conditional settlement agreement with Square Enix LimitedTheManagement Board of PCF Group S.A. with its registered office in Warsaw(the "Company"), with reference to the information published in currentreport No. 14/2025, announces that following negotiations conducted bythe Company's capital group (the "Group") with Square Enix Limited,having its registered office in London, United Kingdom (the"Publisher"), on 19 November 2025 the Group entered into a conditionalsettlement agreement with the Publisher governing, in particular, therules for the final financial settlements related to the Gemini projectcarried out by the Group for the Publisher (the "Settlement"). Under theSettlement, the Publisher and the Group also agreed to terminate theagreements binding them to date, i.e. the development and publishingagreement dated 12 August 2020 relating to the Gemini project and thedevelopment and publishing agreement dated 16 February 2016 relating tothe Madness project. As part of the Settlement, the Publisher and theGroup also mutually waived any potential claims arising from theircooperation to date.

The Settlement includes a condition precedent under which the Groupshall, within 30 days from its execution, deliver to the Publisher thematerials specified therein which were developed under the Geminiproject, referred to as the closing kit (the "Closing Kit"), and thePublisher shall, within 30 days from the date of delivery of the ClosingKit, review and confirm its contents. In the absence of a response fromthe Publisher within the above deadline, or if the Publisher rejects thecontents of Closing Kit, the Settlement shall have no force and thelegal effects provided for therein shall not occur.

The Company will provide updates concerning this event in separatecurrent reports.
