Information about the Management Board members
The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, the“Company”), in addition to the current report no. 18/2016 of March 22,2016, provides information about newly appointed members of theManagement Board of PGE.
Henryk Baranowski – President of the Management Board
Mr. Henryk Baranowski is a graduate of Faculty of Electrical Engineeringat the Warsaw University of Technology with specialty of powerengineering. He also completed postgraduate studies in businessmanagement of power utilities on the energy market at the WarsawUniversity of Technology and postgraduate studies in financialmanagement of companies at the Warsaw School of Economics. He alsocompleted Executive MBA program at Business School of the WarsawUniversity of Technology, HEC School of Management, London BusinessSchool and Norwegian School of Economics and Business Administration.
From November 2015 till March 2016 Mr. Henryk Baranowski held a positionof the Undersecretary of the State in the Ministry of State Treasurysupervising works of Key Companies Department and Corporate GovernanceDepartment. In years 2013-2015 employed as the Director for BusinessDevelopment, and later as the Director for Sales and Marketing of EnergySector at Alstom Power Polska. From 2006 to 2008 held a position of theVice-President of the Management Board in PGE, and in years 2001-2006the President of the Management Board in Polskie SieciElektroenergetyczne-Info Sp. z o.o. In period 1990-2001 associated withPolskie Sieci Elektroenergetyczne S.A., where he held a position of,among others, ICT Director.
Mr. Henryk Baranowski has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.
Mr. Henryk Baranowski has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).
Marta Gajęcka - Vice-President for Market Development and InternationalRelations
Ms. Marta Gajęcka graduated from the Warsaw School of Economics andholds Masters Degree from faculty of International Economic andPolitical Relations, simultaneously she obtained Polish-French diplomain European Studies conducted by the Warsaw School of Economics and theParis Institute of Political Science.
Currently Ms. Marta Gajęcka is an Executive Director of Ernst & YoungGlobal R&D and Innovation Services EMEIA Tax Center, and specializes inthe investment advisory regarding financing of research, innovations anddevelopment, inter alia in the power sector. Ms. Marta Gajęcka gainedprofessional experience from private sector – finance industry andconsulting – as well as from public administration and diplomacy. Sheheld the positions of, inter alia, the President of Eques Investmentfund (years 2013-2014), Partner in Ernst & Young Poland (years2010-2011), the Vice-President of the European Investment Bank inLuxembourg (years 2007-2010), the Undersecretary of the State in theMinistry of Finance (years 2006-2007), the Financial Counsellor at thePermanent Representation of the Republic of Poland to the European Unionin Brussels (years 2004-2006) and the Financial Counsellor at thePermanent Representation of the Republic of Poland to the OECD in Parisin years 2002-2004.

Bolesław Jankowski - Vice-President for Trading
Mr. Bolesław Jankowski, Dr.Eng., graduated from the Faculty ofMechatronics at the Warsaw University of Technology, where he gainedM.Sc.Eng. degree and subsequently obtained doctoral degree at theFaculty of Environmental Engineering at the Silesian University ofTechnology within the field of construction and utilization of machinery.
Since 1997, Mr. Jankowski has been hired in the research company BadaniaSystemowe „EnergySys” L.L.C., as the Vice-President and the Head ofDevelopment Strategy Team, where he designed and implemented developmentstrategies for utilities and industrial companies (inter alia: STOEN,SPEC, PERN, KGHM), so as the innovatory management solutions andbusiness models for large private companies and State-owned companies.Mr. Bolesław Jankowski participated in several domestic andinternational projects in the power sector and transformation of theenergy market. Mr. Bolesław Jankowski represented Poland amonginternational expert teams. He directed team works on the long termnational energy development scenarios, energy projections (price anddemand forecast) and the comprehensive evaluation of the impact of EUclimate policy on Poland (e.g. Report 2030, Report 2050).
In years 1991-1997 Mr. Jankowski worked at the Power EngineeringProblems Department within the Institute of Fundamental TechnologicalResearch of Polish Academy of Science, he was involved in team ofProfessor W. Bojarski which outlined the first national energy policyafter the political transformation (years 1991-1993).
Mr. Bolesław Jankowski, Dr.Eng., has stated that his activities outsidePGE are not competitive in relation to activities of the Company andthat he is not participating in a competitive company as a partner in apartnership, in a civil partnership or as a member of body of a capitalassociation, and he is not participating in other competitive legalperson as a member of its body.

Paweł Śliwa - Vice-President for Innovations
Mr. Paweł Śliwa graduated from Law and Administration Faculty at theMaria Curie-Skłodowska University in Lublin, branch in Rzeszów. Hecompleted PhD studies on the Cardinal Stefan Wyszyński University inWarsaw. Completed attorney apprenticeship in Regional Bar Council inRzeszów.
From March 1, 2016 till March 22, 2016 Mr. Paweł Śliwa held a positionof the Supervisory Board member of PGE. Since 2002 Mr. Paweł Śliwa hasrun a Law Firm in Gorlice. Since November 2011 a judge at the Court ofState. Since October 2010 a councilor in the legislative assembly ofMałopolskie voivodship. In years 2005-2012 run a Solicitor’s Partnershipin Gorlice. In years 2006-2007 he held the position of the Vice-Chairmanof the Supervisory Board of Ruch S.A.
