Changes in the Management Board and Supervisory Board

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company", "PGE") discloses that on March 22, 2016 the Company receiveda resignation from Mr. Paweł Śliwa - a member of the Company'sSupervisory Board.

Furthermore, the Management Board of PGE discloses that on March 22,2016 the Supervisory Board adopted resolutions on:

- appointment of Mr. Henryk Baranowski to the Management Board of theninth term of office as from March 31, 2016 and entrusting him theposition of the President of the Management Board;

- appointment of Ms. Marta Gajęcka to the Management Board of the ninthterm of office as from March 31, 2016 and entrusting her the position ofthe Vice-President for Market Development and International Relations;

- appointment of Mr. Bolesław Jankowski to the Management Board of theninth term of office as from March 31, 2016 and entrusting him theposition of the Vice-President for Trading;

- appointment of Mr. Paweł Śliwa to the Management Board of the ninthterm of office as from March 31, 2016 and entrusting him the position ofthe Vice-President for Innovations.

Other information about the Management Board members, required pursuantto § 28 of the Regulation of the Polish Minister of Finance of February19, 2009 on current and periodic information published by issuers ofsecurities and on conditions under which such information may berecognized as being equivalent to information required by theregulations of law of a state which is not a member state. (DziennikUstaw of 2014 item 133), will be published by the Company in a separatecurrent report at a later date.
