Information on distribution of profit for 2015

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company") discloses that the Ordinary General Meeting of the Company(the "OGM") of June 28, 2016 adopted the resolution on distribution ofthe net profit for 2015 in amount of PLN 1,767,999,316.86 in followingway:

- PLN 467,440,207.25 to be allocated for a dividend payout to theCompany shareholders, which gives a dividend of PLN 0.25 per one shareof the Company,

- the remaining amount of PLN 1,300,559,109.61 to be allocated to thesupplementary capital.

As at the date of this current report, the dividend applies to1,869,760,829 shares.

The OGM determined September 23, 2016 as the dividend date and October14, 2016 as the dividend payment date.
