Registration of the change to the Statutes

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the"Company") has taken information that on January 11, 2019, the DistrictCourt of the City of Warsaw in Warsaw, XII Commercial Division of theNational Court Register registered the change to the Company's Statutes,made on the ground of resolution no. 4 of the Extraordinary GeneralMeeting of the Company of November 14, 2018.

According to the above mentioned resolution in § 37, clause 3 is addedwith the following wording:

"3. The consent of the General Meeting is required for the following:

1) the Company's disposal of shares/interests in a company with respectto which frequencies from the ranges 452.5-457.5 MHz and 462.5-467.5 MHzhave been reserved pursuant to a decision on frequency reservation to beissued, after consultations with the minister competent forenergy-related matters, by the President of the Electronic CommunicationOffice,

2) the determination of the manner of voting at the General Meeting of acompany with respect to which frequencies from the ranges 452.5-457.5MHz and 462.5-467.5 MHz have been reserved pursuant to a decision onfrequency reservation to be issued, after consultations with theminister competent for energy-related matters, by the President of theElectronic Communication Office, on matters concerning amendments tosuch a company's statutes / articles of association."

The Management Board of PGE attaches to this report a consolidated textof the Statutes including the above change.

Legal ground: § 5 point 1 and § 6 of the Regulation of the Minister ofFinance dated March 29, 2018 on current and periodic informationpublished by issuers of securities and on conditions under which suchinformation may be recognized as being equivalent to informationrequired by the regulations of law of a state which is not a memberstate.
