Appointment of the Vice-President for Finance

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company", "PGE") discloses that on June 8, 2021 the Supervisory Boardof PGE adopted resolution on appointment of Mr. Lechosław Rojewski tothe Management Board of the eleventh term of office as from June 9, 2021and entrusting him the position of the Vice-President for Finance.

Mr. Lechosław Rojewski is a graduate of Gdynia Maritime University, AGHUniversity of Science and Technology in Kraków and doctoral studies atthe Institute of Economics at the Polish Academy of Sciences in Warsaw.He completed numerous training and courses in accounting, taxes,controlling, IAS, IFRS and finances. Entitled to provide servicesconsisting in maintenance of accounting ledgers. Was a member ofControlling and Management Accounting Academy. Certified European Fundadvisor. Worked as an assistant professor in Kotarbiński University ofInformation Technology and Management in Olsztyn. He collaborated withWSB University (Wyższa Szkoła Bankowa) in Gdańsk and Gdynia as well aswith the University of Business and Administration in Gdynia.

In the years 2019-2021 he was the Vice-President of the Management Boardfor finance at Węglokoks S.A. From 2016 to 2019, he was associated withPort Gdański Eksploatacja S.A., where he first served as theVice-President of the Management Board for finance, and then thePresident of the Management Board. Moreover, he gained experience whileworking in production, service and commercial companies and on thepositions of an expert, coordinator and moderator of EU projectsconcerning the implementation of strategic planning in a company and theintroduction of innovative technical and organisational solutionsensuring effective competitiveness in the national and foreign markets.He has broad experience in restructuring of companies, optimisation offinancial and accounting processes, planning and budgeting, managementof financial flows and mitigation of foreign exchange risk. He alsoimplemented integrated IT systems (ERPs).

Mr. Lechosław Rojewski has stated that his activities outside PGE arenot competitive in relation to activities of the Company and that he isnot participating in a competitive company as a partner in apartnership, in a civil partnership or as a member of body of a capitalassociation, and he is not participating in other competitive legalperson as a member of its body.

Mr. Lechosław Rojewski has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2019,item 1500 as amended).
