Fulfilment of conditions precedent from the preliminary agreement forthe acquisition of 100% of the shares in PKPE Holding

With reference to the current report no. 61/2022 of December 28, 2022,the Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE")discloses that on March 31, 2023 the last of conditions precedent of thetransaction for the acquisition of 100% of the shares in PKPE Holdingsp. z o.o. (the "Transaction") was fulfilled.

PKPE Holding Sp. z o.o. is a holding company controlling a number ofentities the activities of which are concentrated around PKP EnergetykaS.A.

Due to the settlement of all conditions precedent specified in thepreliminary share purchase agreement, the closing of the Transaction isplanned on April 3, 2023.

Information about the transfer of shares in PKPE Holding sp. z o.o. andabout the completion of the taking control over PKPE Holding sp. z o.o.will be published in a separate current report by PGE.
