("Company") announces that theCompany's Supervisory Board has decided to change the date of appointedMr Marcin Wasilewski as the Company's Management Board Member forTechnology from 1 January 2025 to 6 November 2024.According tothe Supervisory Board's resolution of 25 September 2024, Mr MarcinWasilewski was to take up his position on the Management Board of ORLENS.A. 1 January 2025.According to the resolution adopted on 16October 2024, the Company's Supervisory Board decided to appoint MrMarcin Wasilewski to the Company's Management Board with effect on thestart of the day of 6 November 2024 for the position of Member of theManagement Board for Technology, for the common term of office, whichends on the date of the Ordinary Shareholders Meeting that will approvethe Company's financial statement for 2025.Mr Marcin WasilewskiManagerfor many years associated with heavy industry and energy transition.From 2022 he serves as CEO of InnoEnergy Poland and as a member of theExecutive Board of EIT InnoEnergy SE in the Netherlands (headquarters).InnoEnergy has a portfolio of more than 180 companies in Europe in thearea of green transformation.From 2018 to 2022, he served as VicePresident at ABB Poland, where he managed the power and heavy industrysectors in Poland, Czechia and Hungary. He was responsible for sales,project execution and industrial automation service.From 2006 to2018, he was associated with ORLEN. He served as chairman of the AnwilSupervisory Board and president of Baltic Power (later chairman of theSupervisory Board), and was a member of the Supervisory Board of ORLENLietuva and several other companies from ORLEN Group.During years ofwork, he co-created the ORLEN Group's energy strategy and built theenergy segment. He was responsible for the preparation, implementationand settlement of the contract for CCGT units in Włocławek and Płock.Carried out a comprehensive investment program to adapt ORLEN Group'spower generation assets to environmental requirements under EUdirectives (IED Directive). Launched wholesale and retail electricitytrading, a program to build a network of chargers for e-mobility, andobtained an off-shore license for Baltic Power.In the period beforethe construction of the power industry, he was responsible, among otherthings, for the integration of AB Mazeikiu Nafta (now ORLEN Lietuva) andthe implementation of segment management, which is the foundation of thecurrent ORLEN Group management model.Since 2018, he has been amember of the Polish Committee of the World Energy Council.He is agraduate of Florida Atlantic University, University of Bradford (MBA),Warsaw University of Technology (postgraduate studies, Gas Turbines) andHarvard University (GMP).Mr Marcin Wasilewski submitted writtenstatement that he resigned from the position of CEO of InnoEnergyPoland, which is competitive with ORLEN, the resignation will come intoforce on 5 November 2024. Moreover he declared that he holds the sharesin Green-en Sp. z o.o., a company engaged in bio-methane projects, whoseactivities are partially competitive with ORLEN and he intends to sellthese shares before becoming a member of the Company's Management Board.He also declared that he is not and will not be involved in any otheractivity competitive with ORLEN and is not and will not be partner ofany other competitive civil law partnerships, partnerships, capitalcompanies, will not be member of any boards of a competitive capitalcompanies. He also stated that he is not on the list of insolventdebtors kept on record on the National Court Register Act.
