Agreement for the purchase of shares in a company building a new butadiene unit at the Production Plant in PłockRegulatory announcement no 69/2025 dated 18 December 2025ORLEN S.A. ("ORLEN", "Company") informs that on 18 December 2025, it signed an agreement with Synthos S.A., headquartered in Oświęcim ("Synthos"), under which Synthos sold to ORLEN 100% of shares in S54 sp. z o.o., a company building a new butadiene extraction unit at the Production Plant in Płock ("SPA", "Transaction"). The value of the Transaction (Enterprise Value) will amount to PLN 692 million, and will be finally settled by the end of June 2026.S54 sp. z o.o. is constructing a new butadiene production facility ("New Butadiene Unit"), which will ultimately become an integral part of the Production Plant in Płock. New Butadiene Unit will collect the entire C4 fraction from installations under construction within the New Chemistry Project and will supply not only butadiene but also raffinate-1, which is used indirectly in the ether production process at ORLEN. As a result of the Transaction, ORLEN will extend the petrochemical production value chain at the Production Plant in Płock.At the same time, the companies of ORLEN Group and Synthos Group signed accompanying contracts, in particular agreements and annexes that mitigate the financial and legal risks arising from previous agreements.The decisions of the corporate bodies regarding the conclusion of the SPA agreement - the consent of the Company's Management Board expressed on 10 December 2025, and the consent of the Company's Supervisory Board expressed on 17 December 2025 - were considered as an inside information, the publication of which the Company delayed until the agreement was signed, in accordance with Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council.
