The Management Board of Shoper S.A. (the _quot;Issuer_quot;, the _quot;Company_quot;)informs that on May 14, 2024 it made a decision on recommending to theOrdinary General Meeting of the Company the payment of dividend from theprofit for the financial year ended December 31, 2023.

The Management Board recommends that the Ordinary General Meeting of theCompany allocate the amount of PLN 18,850,155.20 (say: eighteen millioneight hundred fifty thousand one hundred fifty-five zlotys 20/100) forthe payment of dividend to shareholders, which means that the amount ofdividend per share will amount to PLN 0.67 (say: sixty-seven groszy).

In addition, the Management Board of the Company recommends that thedividend date be set for June 20, 2024, while the dividend should bepaid on June 27, 2024.

On May 14, 2024, the above motion of the Management Board received apositive assessment from the Company's Supervisory Board.

The final decision on the distribution of the Issuer's profit for 2023,including the amount allocated for the payment of dividend, the dividenddate and the date of its payment, will be made by the Ordinary GeneralMeeting of Shoper S.A.
