bmp AG: bmp becomes public company in Poland
As of delivery on November 19, 2004 to the Polish Securities and Exchange
Commission of the approval of bmp AG’s prospectus by the Frankfurt Stock
Exchange, bmp by operation of law became a public company within the meaning
of the Polish Law on public trading in securities and its shares became
admitted to public trading in Poland. As a result of such admission of
bmp’s shares to public trading in Poland, bmp may now apply for listing on
the Warsaw Stock Exchange. From November 19, 2004, bmp became subject to Polish
law disclosure requirements and is obliged to publish all its ad hoc
and periodic reports required under German law also in Polish translations
for dissemination in Poland.
bmp’s shares were admitted to public trading in Poland based on the
European “single passport” procedure which allows companies to use the
prospectus approved in one EU member state as an offering document in another
EU member states without the need to seek additional approval. bmp is the
first foreign company that relied on the “single passport” procedure in
seeking admission of its securities to public trading in Poland. Subject to
approval of bmp’s application by the Warsaw Stock Exchange, bmp will most
likely be the third foreign company listed on the Warsaw Stock Exchange.
