Report 22/2023 Dividendpayment for 2022

The Management Board of STSHolding S.A. (the _quot;Company_quot;) informs that the Ordinary General Meetingof Shareholders of the Company adopted on 28 June 2023 a resolution todistribute the net profit achieved by the Company in 2022 in the amountof PLN 128,609,243.89 (in words: one hundred and twenty-eight millionsix hundred and nine thousand two hundred and forty-three zloty 89/100)as follows:

1. the amount of PLN42,264,438.66 (say: forty two million two hundred and sixty fourthousand four hundred and thirty eight Polish zloty 66/100), paid as anadvance on the expected dividend for the 2022 financial year on 31October 2022 in accordance with the Resolution of the Company'sManagement Board no. 1 dated 20 September 2022, to allocated to the 2022dividend, and

2. the amount of PLN86,344,805.23 (say: eighty six million three hundred forty four thousandeight hundred and five Polish zloty 23/100) to allocated for thesupplementary capital of the Company.

In addition, the ManagementBoard of STS Holding S.A. announces that on 29 June 2023 the Companyreceived from STS S.A. a dividend for 2022 in the amount of PLN98,356,266.52._#160; This amount represents the remaining profit to be paid -less the dividend advance paid to STS Holding S.A. in the amount of PLN41,500,000.00 and the profit earned by STS S.A. in the financial year2022. The total profit for the financial year 2022 amounted to PLN139,856,266.52.
