APPOINTMENT OF MEMBERS OF THE SUPERVISORY BOARD
The issuer's management board, i.e. VIGO PhotonicsS.A. with its registered office in Ożarów Mazowiecki (hereinafterreferred to as the _quot;Issuer_quot;), informs that on November 20, 2023, theExtraordinary General Meeting of the Issuer appointed Mr. Marcin Kubrakand Mr. Waldemar Maj as Members of the Supervisory Board for athree-year joint term of office from June 28, 2021 with the previouslyelected Members of the Issuer's Supervisory Board.
Mr. Marcin Kubrak has secondary education (studied atthe Warsaw University of Technology, Faculty of MEIL 1989-1996).
He started his career in 1991 as a tour guide forforeign trips to Far Eastern countries (Thailand, Korea, Singapore) inthe INT EXPRESS travel agency. From 1992 he worked as the Head of theInbound Tourism Department, where he was responsible for organizing thearrival of tourist groups to Poland from other countries. Western Europe.
In 1994, the Fair Cargo company began its operations,which was one of the first companies in Poland to launch air forwardingand air freight services. Until 2005, he was the owner and managingdirector of this company. In the years 2005-2015, he served as a memberof the Management Board and Managing Director of Expeditors Polska,Expeditors International Group, a company listed on NASDAQ in the USA.
Since 1999, he has been a shareholder and presidentof the management board of AIRNET, which owns and operates a forwardingterminal at the Okęcie airport in Warsaw. Since 2004, he has been ashareholder and member of the Management Board of Airnet Service, whichconducts air freight holding activities.
Mr. Marcin Andrzej Kubrak started his aviation careerin 1996. In 1997, he obtained an airplane pilot's license. Currently, heis an airline pilot with an ATPL license and an instructor and stateexaminer (TRE) of the Boeing 737 type. Additionally, he serves as achief pilot at Enter Air. In the years 2003-2005 he worked for AirPolonia. In the years 2005-2009 he was employed at the Centralwingsairline as Pilot Captain.
Currently, Mr. Marcin Kubrak is a member of theManagement Board of EnterAir S.A., Director of Aviation Operations atEnterAir S.A. - a company listed on the WSE since 2015.
Mr. Marcin Kubrak agreed to run for and serve as amember of the Issuer's Supervisory Board and submitted a declarationthat he does not participate in a company competitive to the Issuer as apartner in a civil partnership, partnership or as a member of a body ofa capital company, and does not participate in any other competitivelegal person as member of its governing body. Moreover, according to thestatement, Mr. Marcin Kubrak is not entered in the Register of InsolventDebtors kept pursuant to the Act on the National Court Register.
According to the statement, Mr. Marcin Kubrak hasknowledge and skills in the field of accounting or auditing financialstatements as well as knowledge and skills in the industry in which theIssuer operates in the field of _quot;enterprise management and finances ofcapital companies_quot;.
The biography of Mr. Marcin Kubrak and the consent torun for a position on the Supervisory Board together with thedeclaration were attached by the Issuer to current report No. 38/2023 ofNovember 15, 2023.
Mr. Waldemar Maj graduated from the Warsaw Universityof Technology, Faculty of Technical Physics and Applied Mathematics, in1980, obtaining a master's degree in engineering. In 1989, he obtained aPhD from the Polish Academy of Sciences, Institute of Physics, PolishAcademy of Sciences. In 1996, he obtained a Master in BusinessAdministration (MBA) from Harvard University in Boston, USA:concentration in finance. In the summer of 1995, Corporate FinanceAssociate at Union Bank of Switzerland in Zurich, Switzerland.
In the years 1981-1991 he was an assistant professor(from 4/1991), an assistant at the Institute of Physics of the PolishAcademy of Sciences. He is the author of numerous publications,including Rapid Communication in Physical Review B. Postdoctoral Fellowat the Kamerlingh Onnes Laboratory at the University of Leiden, theNetherlands (1990-3/1991).
In the years 1991-1994, he was an advisor to theMinister of Finance, responsible for aid programs, President of theManagement Board of the Foundation for the Development of the FinancialSystem and Chairman of the Supervisory Board of Bank Gdański. Heimplemented the European Union's Phare program worth ECU 32 million.
In the years 1996 - 2000 he held the position ofSenior Investment Officer, Oil, Gas and Mining at the InternationalFinance Corporation (The World Bank Group) in Washington, USA, where heorganized financing in the form of loans and capital investments formining projects, mainly gold and silver mines in emerging markets andsupervised investments in portfolio companies in Central Asia and SouthAmerica.
In the years 2000-2002, as a Senior Associate atMcKinsey _amp; Company in Warsaw, he dealt with strategic consulting in thebanking, insurance and telecommunications sectors.
In the years 2002 - 2005, Mr. Waldemar Maj was aMember of the Management Board of DZ Bank Polska S.A. in Warsaw, andfrom June 2003, President of the Management Board (from 6/2003). Hemanaged the restructuring of AmerBank S.A., implemented a central ITsystem within 7 months and optimized costs, developed and implementedthe bank's development strategy, which was successful in restoring thebank's profitability and changing its name to DZ Bank Polska.
In the years 2005 - 2007, Mr. Waldemar Maj wasVice-President of the Management Board of Bank BGŻ S.A. in Warsaw. Hesupervised institutional and treasury banking and implemented a newstrategy that resulted in profitable growth of loans and deposits at alevel approximately twice as high as the market average.
In the years 2007 - 2007 he was Vice-President of theManagement Board for Finance of PKN ORLEN S.A., where he supervised thefinancial department and investor relations. He was a Member of theManagement Board of AB Mazeikiu Nafta and the Supervisory Board ofUnipetrol a.s. He organized financing for over PLN 4 billion, improvedthe company's liquidity and maintained its investment rating.
From April 2009 to the present, Mr. Waldemar Maj hasbeen a partner and founder of METROPOLITAN CAPITAL SOLUTIONS in Warsaw,dealing with strategic consulting and M_amp;A for companies and privateequity funds.
He is also an investor and President of theManagement Boards of technology startups, Neutrino Geology andAlgorytmik, Chairman of the Supervisory Board of Hycom and Member of theSupervisory Board of Creotech Instruments. He was the Chairman of theSupervisory Board of PZU and a Member of Supervisory Boards, amongothers. GPW, Ciech, Bank BGZ, TFI Origin, TMS Brokers and Stock Spiritsin Luxembourg.
Mr. Waldemar Maj was involved in the democraticmovement in the years 1976-1989 and was awarded the Officer's Cross ofthe Order of Polonia Restituta.
Mr. Waldemar Maj agreed to run for and serve as amember of the Issuer's Supervisory Board and submitted a declarationthat he does not participate in a company competitive to the Issuer as apartner in a civil partnership, partnership or as a member of acorporate body, and does not participate in any other competitive legalperson as member of its governing body. Moreover, according to thestatement, Mr. Waldemar Maj is not entered in the Register of InsolventDebtors kept pursuant to the Act on the National Court Register.
According to the statement, Mr. Waldemar Maj meetsthe independence criteria of a Member of the Supervisory Board specifiedby the European Commission in Annex No. II to the CommissionRecommendation of February 15, 2005 regarding the role of non-executivedirectors or members of the supervisory board of listed companies andcommittees of the (supervisory) board (Journal of Laws U.EU.L.05.52.51),art. 129 of the Act of May 11, 2017 on statutory auditors, audit firmsand public supervision (consolidated volume: Journal of Laws of 2022,item 1302, as amended) and additional requirements indicated in the GoodPractices of Listed Companies on the WSE, constituting an annex toResolution No. 13/1834/2021 of the Stock Exchange Council of March 29,2021.
The biography of Mr. Waldemar Maj and the consent torun for a position on the Supervisory Board together with thedeclaration were attached by the Issuer to current report No. 39/2023 ofNovember 17, 2023.
