TheManagement Board of VIGO Photonics S.A. with its registered office inOżarów Mazowiecki (the _quot;Company_quot;, _quot;Issuer_quot;), hereby announces that onSeptember 20, 2024, it decided to commence a review of strategic optionsregarding the further development of the Company. The purpose of thereview of strategic options is to analyze and assess possible courses ofaction for the further development of the Company, including financingthe development of photonic integrated circuit (PIC) technology, as wellas infrared (IR) detectors and modules and other products of the Company.

TheCompany will consider possible strategic options, which may includeacquiring a financial or strategic investor, or conducting anothertransaction that may result in a change in the shareholder structure ofthe Company. In the course of the review of strategic options, theCompany may engage in talks with various entities, and selectedentities, to the extent permitted by applicable law, may be providedwith additional information about the Company and its activities.

TheCompany has engaged a financial advisor - PWC Advisory and a legaladvisor - DLA Piper to support the activities of the Company'sManagement Board in connection with the review of strategic options.

At thesame time, the Management Board of the Company informs that no decisionregarding the selection of any strategic option has been made and it isnot certain whether and when such a decision will be made. The Companywill provide public information on the progress of the process ofreviewing strategic options in accordance with applicable legalregulations.

Duringthe review of strategic options, the Company will continue to implementthe adopted strategy and operational plan.
