The Management Board of Vivid Games S.A. (hereinafter: "the Company","the Issuer"), informs that on March 17th, 2025 it concluded a letter ofintent to set preliminary conditions and start negotiations regardingthe conclusion of an agreement for the sale of rights to the game RealBoxing 2 (hereinafter: "the game"). The talks are being held with anestablished and experienced mobile game production and distributioncompany based in the US.

As a result of the final agreement, the Issuer may receive financialbenefits in a significant amount, exceeding 50% of revenues for 2024.

According to the letter of intent, the parties will make a finaldecision on the final agreement and its detailed terms within 45 daysfrom the date of signing the letter. The Company will announce the finaldecision in a separate report.

The conclusion of the agreement will not affect the Issuer's rights toproduce and distribute other games in the Real Boxing series, inparticular the planned Real Boxing 3. The talks only concern theacquisition of the rights to Real Boxing 2 and a non-exclusive licenseto use this title.
