The Management Board of XTPL S.A. (the "Issuer") announces that on 9January 2020 Extraordinary General Meeting of Shareholder of the Issuerappointed Mr. Herbert Wirth as a member of the Issuer's SupervisoryBoard with effect from 10 January 2020.

Mr. Herbert Wirth has a university degree (habilitated doctor, professorat the Wrocław University of Technology at the Faculty ofGeoengineering, Mining and Geology) and for many years held managerialfunctions (including on management boards).

Career:

- 1981-1990: Przedsiębiorstwo Geologiczne in Wrocław (team member,independent geologist and deputy head of section);

- 1990-1992: Primary School No. 37 in Wrocław (math and German teacher);

- 1992-1993: G.E.O.S. GmbH Freiberg (work related to environmentalprotection, the impact of geology on the environment);

- 1993-1998: proGEO Sp. z o.o. (manager and consultant);

-1998-2002: Copper Research and Design Center "CUPRUM" Sp. z o.o.(manager - geological and mining projects in Poland and in the world);

- 2002-2006: KGHM Polska Miedź S.A. (Director of the new areasdevelopment department);

- 2006-2008: KGHM CUPRUM sp.z o.o. (Vice President);

- 2008-2009: KGHM Polska Miedź S.A. (Vice President);

- 2009-2009: KGHM Polska Miedź S.A. (acting President of the ManagementBoard);

- 2009-2016: KGHM Polska Miedź S.A. (Chairman of the Board);

- 2016-presence: prof. Wroclaw University of Technology at the Facultyof Geoengineering, Mining and Geology.

Mr. Herbert Wirth does not conduct any competitive activity in relationto the Issuer and does not participate in a competitive company as apartner in a civil law partnership or partnership, as a shareholder in acapital company or as a member of a body of a competitive legal person.

Mr. Herbert Wirth is not entered in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
