The Management Board of XTPL S.A. (the "Issuer", "Company") announcesthat on 23 December 2021, the Company accepted and confirmed an orderfrom the Department of Information Engineering/ Dipartimento diIngegneria dell'Informazione ["DII"] of the University of Brescia inItaly ["UniBs" "Customer"] for delivery of the Company's technologydemonstrator: the Delta Printing System.

The Issuer accepted the Customer's order, which means that a salescontract was formed. The Company will deliver and commission the devicein the first half of 2022.

The Delta Printing System will be used by a team of experts in the areaof emerging integrated electronics and bioelectronics, physics ofadvanced semiconductor and iontronic devices, simulation and modeling oforganic and amorphous transistors for the production of modern andultra-sensitive, biodegradable organic biosensors. Those activities willbe carried out mainly by the research group of Microelectronics andEmerging Technologies at the UniBs. The Customer will also use the DeltaPrinting System for R_amp;D work on bioelectronic devices with a singlemolecule detection limit.

The University of Brescia is placed among the top 10 Italianuniversities. For over eight years, the UniBs has focused itseducational and scientific activities in the areas of human health andwell-being in the surrounding environment, through the integration ofcultural and scientific areas and cooperation with national andinternational partners who promote health matters, among other things.

The Management Board of XTPL S.A. has decided that the printer saleagreement is inside information due to their significant value and itsimportance in the context of the Company's current business size. Therevenue from the printer order will have a positive impact on XTPL'sfinancial performance in 2022.

Accordingly, in the Management Board's opinion, the information on thesale of the Delta Printing System meets the criteria of insideinformation within the meaning of Article 7(1) MAR.
