The Management Board of XTPL S.A. ["Issuer", "Company"] hereby reportsthat on January 10, 2022 the Company entered into a cooperationagreement ["Agreement"] with the Israeli company Nano Dimension Ltd.["Nano Dimension", "Customer"] whereby the Company will develop aspecial formulation for electronically conductive ink based on metallicnanoparticles for Additively Manufacturing Electronics (AME)applications, enabling high conductivity for Nano Dimension productsfocused on AME markets. inkjet printing.

Nano Dimension Ltd. is a NASDAQ-listed provider of intelligent machinesand solutions for the production of Additively Manufactured Electronics(AME). Nano Dimension implements printing technology for manufacturingof AME and 3D-Printed Electronics markets. In the framework of theagreement, XTPL will collaborate with Nano Dimension to develop aspecial formulation of conductive ink for the devices manufactured andsupplied by Nano Dimension.

The Management Board has decided that the conclusion of the Agreement isinside information due to its significant value in the context of theCompany's current business and its future development. Sales revenuesrelated to the implementation of the Agreement should be reflected inthe income statement as of 2022.

Establishment of the Issuer's cooperation with the industrial partner inthe nanoinks business line is testament to the commercializationpotential of the XTPL technology, which in the longer perspective maysupport its implementation on the production lines of global players inthe market of next generation electronics.

Accordingly, in the Management Board's opinion, the information on theAgreement meets the criteria of inside information within the meaning ofArticle 7(1) MAR.
