Title: Conclusion of an agreement for distribution of the Issuer'stechnological solutions in India

The Management Board of XTPL S.A. ("Issuer", "Company", "XTPL") reportsthat on 18 February 2022 an agreement was signed between the Issuer andVertex Global Solutions based in Mumbai (India) (_quot;Vertex_quot;), providingfor distribution of XTPL's technological solutions ("Agreement").

Under the Agreement, Vertex will be the distributor of XTPL'stechnological solutions in the Indian market. The purpose of thecooperation is to introduce the Issuer's technologies and products tothe specified market, as well as to increase the awareness andvisibility of the Company's solutions among global players present inthat market.

Vertex specializes in providing innovative solutions for industrialmanufacturers of displays, semiconductors and organic photovoltaiccells. The Issuer's new distributor has over 25 years of experience inthe industry.

India ranks among global leaders in terms of research and developmentprospects. It has a large base of educated employees and a rapidlygrowing internal market. In the opinion of the Company's ManagementBoard, the distribution agreement will facilitate the commercializationof the XTPL technology in one of the largest Asian markets.

The Issuer's Management Board has decided that the conclusion of theAgreement is inside information, as its implementation may have asignificant impact on the Issuer's future income position due topromotion of the Company's technological solutions among globalindustrial customers operating in that market. For this reason, in theopinion of the Management Board, the information about the conclusion ofthe Agreement meets the criteria set out in Article 7(1) of the MAR.
