Contents of the Report:

The Management Board of XTPL S.A. (the _quot;Company_quot;, _quot;Issuer_quot;) reports thattoday it has learned that on 22 July 2022 the District Court forWrocław-Fabryczna in Wrocław, 6th Commercial Division of the NationalCourt Register, registered amendments to the Company's Articles ofAssociation adopted by the Annual General Meeting of the Company on 30June 2022 by Resolution No. 20/06/2022 on amendments to the Articles ofAssociation, on the basis of which a new §18A of the Company's Articlesof Association was added.

Furthermore, by Resolution No. 21/06/2022, the Annual General Meetingadopted the consolidated text of the Company's Articles of Association.
